216,600,000 Class A shares were subject to redemption on June 30, 2026.
3The deadline to complete the initial business combination is November 22, 2026.
4The share redemption process may take up to 10 business days after the deadline.

Dynamix Corporation decided to redeem all of its outstanding public Class A shares after reporting that it could not complete a business combination by the specified deadline. The company announced the decision in a statement via GlobeNewswire, saying its board had elected to proceed with the share redemption. The decision puts public shareholders on a path to recover the funds held in the trust account under the liquidation mechanism set out in the company’s filings. The deadline to complete an initial business combination was November 22, 2026, according to an earlier quarterly filing. The announcement therefore came before the deadline, not after it had passed.

The liquidation mechanism provides for the public shares to be redeemed for cash as promptly as reasonably possible after the deadline, and no later than 10 business days. The amount is calculated from the balance in the trust account after deducting taxes and permitted dissolution expenses. The filing allows up to $100,000 of interest to be allocated to pay dissolution expenses. As a result, the final amount each shareholder receives depends on the account balance and the number of shares subject to redemption when it is carried out. This mechanism alone does not set a final cash value per share at distribution.

Investments held in the trust account totaled $176,148,668 on June 30, 2026, according to the quarterly report filed with the U.S. Securities and Exchange Commission. On the same date, 16,600,000 Class A shares were subject to redemption. The filing said the per-share redemption value was $10.61 on June 30, compared with $10.45 on December 31, 2025. These figures provide a picture of the account balance, share count and recorded redemption value in earlier periods. The amount distributed upon liquidation will depend on the trust account balance and permitted deductions at the time it is carried out.

The liquidation decision follows the failure of a deal Dynamix had entered into with The Ether Machine and seller ETH Partners. On April 8, 2026, the company and the seller agreed to terminate the business combination agreement. The termination agreement entitled Dynamix to $50,000,000, which the company received on April 10. The second-quarter filing reported net income of $56,803,502 for the three months ended June 30, 2026. Net income included the $50,000,000 termination agreement fee, along with changes in the fair value of warrants and returns on the trust account.

The company had said in an earlier filing that it intended to continue seeking a merger with another operating company. Its latest filing, however, shows that the board decided to redeem the public shares and cease all operations except those needed to wind up the business. According to the filing, the sponsor, officers and directors waived their rights to liquidation distributions from the trust account with respect to their founder shares if a merger was not completed within the deadline. This shows that the distribution rights described for the founders differ from the redemption of public shares using funds in the account. DYNC shares closed at $10.90 on October 28, 2026, according to EL7 data.
