Insira launches independent identity after Altaris acquires business for $600 million
Key Facts
Insira announced its new name and identity on October 29 as an independent company serving the global life sciences and healthcare sectors, having previously been known as Clarivate Life Sciences & Healthcare. The announcement followed Clarivate’s completion of the sale of the business to Altaris on October 6 for $600 million. The move marks the launch of the new brand under Altaris ownership, not a new separation carried out by Clarivate on the day of the announcement. Insira said it would continue serving the life sciences and healthcare sectors. The announcement sets out the next phase for assets that have left Clarivate’s portfolio, as Clarivate prepares to update its financial outlook after the sale.
Insira’s portfolio includes the Cortellis, DRG and Dialog platforms, and the company says their connected data and embedded artificial intelligence help life sciences and healthcare teams make decisions. This lineup gives the new company its product base after the business transferred to Altaris. Chief Executive Henry Levy said the launch brings together "the depth of our legacy data and the unmatched expertise of our employees with the power of advanced artificial intelligence." He added that the goal is to "deliver greater strategic certainty." This vision links specialist data, employee expertise and digital tools in the business formerly run by Clarivate.
Insira’s announcement cited a challenge facing drug development, noting that 88% of drugs entering Phase I do not reach the market, according to the CMR International Pharmaceutical R&D Factbook. The announcement added that research and development costs continue to rise. These figures feature in the company’s case for the value of its data and tools to life sciences and healthcare teams. Its business includes the Cortellis, DRG and Dialog platforms, with embedded artificial intelligence, according to the announcement. The company said these connected resources support decision-making in the sector.
The announced transaction consideration was $600 million, with terms including $500 million in cash at closing, a $75 million unsecured promissory note and $25 million in deferred consideration. The deferred amount is due no later than January 31, 2028. Clarivate said it intends to use the proceeds to reduce debt and strengthen its balance sheet. It also said that, following the divestiture, its portfolio is focused on academia, government and intellectual property. The sale thus reshaped the scope of Clarivate’s business, while Insira became the independent brand for the assets acquired by Altaris.
Clarivate had justified the sale as a way to improve its revenue mix, expand its adjusted EBITDA margin and reduce capital intensity. The divestiture followed the company’s reporting revenue of $587.3 million in the second quarter of 2026, compared with $621.4 million in the same period of 2025. The company attributed the decline mainly to divestitures and asset disposals. Its chief financial officer said in July that Clarivate had reduced debt by more than $200 million in the first half of 2026 through free cash flow generation and opportunistic debt repurchases. Before the deal closed, the company expected to record a non-cash goodwill impairment of about $225 million to $250 million for the life sciences and healthcare business, and said this would not affect its full-year financial metrics.
Clarivate is scheduled to report third-quarter 2026 results on November 3 and update its full-year outlook to reflect the sale of its life sciences and healthcare business. The next financial update will indicate how the divestiture’s impact is incorporated into the company’s outlook, according to its investor relations announcement. Clarivate had said when it announced the sale agreement that closing was expected before year-end, subject to customary closing conditions, including regulatory approvals. It then completed the sale to Altaris in October. Following the closing, Insira announced its new name and identity as an independent company.
