Volatus Aerospace announced on October 14 an agreement to acquire all shares of ESPECO, the Lithuanian developer and manufacturer of airborne sensing systems and flight management software. The agreement aims to bring sensing technologies and mission software into Volatus's portfolio, expanding its presence in defense and aerial intelligence markets. But the announcement described the transaction as an acquisition agreement and said closing remains subject to customary conditions, including conditional approval from the Toronto Stock Exchange. The announcement therefore does not establish that the acquisition has been completed. Volatus Chief Executive Glenn Lynch said combining aircraft operations with proprietary sensors and software could open opportunities in commercial, infrastructure and defense markets.

The share price will be determined using the 20-day volume-weighted average price on the Toronto Stock Exchange through October 13, 2026. The public announcement did not specify the number or price of shares, as the value of the share component is tied to the stated pricing mechanism. In addition to the base consideration, Volatus may pay up to US$2.5 million in cash or shares, at its option. The payment is tied to financial, commercial and product development targets over three years, making part of the consideration contingent on ESPECO's post-deal performance.

ESPECO's products include Heliox pods, the AI-directed Focus hub, Core electronics and Robinkop software. Volatus said the platform is certified for installation on more than 20 aircraft types, and that two European patent applications remain pending. This product range gives the company tools that combine airborne sensing, its electronics and mission management software in a single offering. According to the statement, ESPECO has sold about 50 complete systems to customers in North America, Latin America, Europe, Asia and Australia. This customer base points to the company's products having reached multiple markets before the agreement was announced.

ESPECO generated about C$5.72 million in revenue in fiscal 2025, more than double the prior fiscal year's revenue. Volatus expects the company, on a standalone basis and before synergies, to generate about C$10 million in revenue in fiscal 2027, with an adjusted EBITDA margin of between 8% and 12%. These are forward-looking estimates provided by Volatus, not realized results. The comparison between 2025 revenue and the 2027 forecast reflects the stated financial bet on continued growth in ESPECO's business. Additional consideration could also reach US$2.5 million if specified performance targets are met over three years.

Volatus management estimated annual direct savings and synergies of between C$1.4 million and C$2.6 million by the second year. It added that access to U.S. pipelines and facilities and European markets presents a revenue opportunity and addressable market valued at between C$7 million and C$12 million. Lynch said combining aircraft operations with sensors and mission software could open opportunities in commercial, infrastructure and defense sectors. The deal adds an engineering and manufacturing base in Vilnius, Lithuania's capital, alongside Volatus's Canadian manufacturing capabilities. Lithuania is a member of NATO and the European Union, placing the new base within the European market and in an allied country within the alliance.

TAKOF shares closed at US$0.354 on October 27, 2026. The price comes as the acquisition agreement has been announced, while closing remains conditional, according to the October 14 statement, on customary conditions being met, including Toronto Stock Exchange approval. The statement did not give a completion date, but it cited ESPECO's fiscal 2027 forecast and synergy estimates by the second year. In the context of Volatus's defense activity, the company had announced on October 7 the delivery of an initial batch from a reconnaissance aircraft fleet to a NATO partner, valued at about C$4.5 million under a contract worth up to C$9 million, and said the customer had begun exercising the option for the second batch. It had also announced the opening of a 53,000-square-foot manufacturing and systems integration facility in Mirabel, Quebec, on September 29.
