Ventas shares fell to $83.34 at the close on October 27, compared with $87.42 in the previous session, as the company reported results for the third quarter ended September 30, 2026 and raised its full-year adjusted FFO outlook. Net income attributable to shareholders was $0.13 per share, while adjusted funds from operations came to $0.99 per share. EL7 data showed the share price decline between the two closes, without identifying a reason for the move. Investing.com, meanwhile, reported GAAP earnings per share of $0.13, below analysts’ estimate of $0.16, while revenue beat expectations at $1.83 billion versus $1.77 billion. Ventas raised its annual adjusted FFO range as it recorded operating growth and strong investment in senior housing.

Earnings measures diverged depending on the calculation method and year-on-year comparison. Net income attributable to shareholders was $0.13 per share, versus $0.14 in the third quarter of the previous year, a decline of 7%. Under the Nareit funds from operations measure, the result rose to $1.01 per share from $0.88, an increase of 15%. Adjusted funds from operations was $0.99 per share, compared with $0.90 a year earlier, up 10%. Investing.com said GAAP earnings per share came in below the estimate, but quarterly revenue exceeded expectations. The figures differ because the results include distinct accounting and operating measures; the release did not explain the share price move after the announcement.

Some of the operating growth came from the senior housing communities the company operates. Same-store cash net operating income in its senior housing operating portfolio rose 16% year on year in the third quarter. Revenue per occupied room increased 5%, while average occupancy rose 290 basis points. Companywide, net operating income grew 18%, and same-store cash net operating income climbed 11%. These measures show the performance of existing properties and the effects of revenue and occupancy, alongside portfolio growth through investment.

Ventas raised its 2026 adjusted FFO outlook to a range of $3.87 to $3.90 per share, from the range of $3.85 to $3.90 announced in July. Chief Executive Debra Cafaro said the company was “raising full-year earnings guidance again, primarily due to our investment activity in 2026.” The company closed $1.2 billion in senior housing investments during the third quarter, bringing total investment in the sector to $5.2 billion from the start of the year through September 30. In July, the company had raised its expected 2026 investment volume in the sector to $4.5 billion from $3 billion. Management cited this investment activity as the context for raising the low end of its annual earnings outlook.

The third quarter followed strong performance in adjusted FFO, with the company reporting $0.97 per share in the second quarter, up 9% year on year, and announcing a full-year range of $3.85 to $3.90 per share. In that quarter, same-store cash net operating income in its senior housing operating portfolio rose 16%, while same-store cash operating revenue grew 9% and occupancy increased 300 basis points. The figures show that occupancy and revenue per room continued to grow in the third quarter, with revenue per room still up 5% and occupancy rising 290 basis points. The new annual guidance range lifted the low end from July’s guidance while keeping the high end at $3.90 per share. Management attributed the outlook increase primarily to investment activity during the year.

On financial position, net debt to adjusted earnings before interest, taxes, depreciation and amortization was 4.4 times at the end of the third quarter, and the company said the ratio had improved by about one full turn from the same period a year earlier. Available liquidity was $4.5 billion as of September 30, 2026. Ventas said this liquidity supports growth and financial flexibility, and presented the debt ratio as an indicator of continued improvement compared with previous periods. The figures come amid increased investment in senior housing, which totaled $5.2 billion from the start of the year. The company was scheduled to hold a conference call to discuss its results on October 28, 2026, at 10 a.m. Eastern time.
