Trifork Group’s extraordinary general meeting on October 28 approved an extraordinary distribution of DKK 3.00 per share from capital contribution reserves, following the completion of a partial exit from minority investments in LabsX. The company’s announcement sets the ex-distribution trading date and payment date, turning the proposal linked to the Verdane deal into an effective shareholder resolution. The meeting also approved an amendment to the articles of association raising the maximum number of shares the board can cancel to 10% of capital, from 5% previously. The company said the amendment gives the board flexibility in dealing with treasury shares accumulated under buyback programs. The amendment only expands the authority to cancel shares and does not itself announce an additional capital return program.

Trifork announced on July 16 an agreement with Verdane covering four investments from the Trifork Labs portfolio, for total cash consideration of EUR 22.8 million, plus payments tied to the portfolio’s future performance. The company said at the time that the consideration exceeded the assets’ carrying values and that the deal structure combined an upfront payment with later amounts. Under the announced schedule, Trifork was expected to receive EUR 16.0 million in the third quarter of 2026, while EUR 6.8 million was expected to be paid later, depending on the timing of subsequent exit proceeds to Trifork and Verdane. The company linked the deferred payment to those proceeds, rather than to a fixed payment date. These cash flows formed the basis for the company’s proposed extraordinary distribution.

Trifork said in its deal announcement that the distribution equated to about half of the initial cash proceeds, while the other half would be allocated to organic and inorganic growth initiatives in the combined business, including further acquisitions. The split reflects two uses for the exit proceeds: a portion returned directly to shareholders and a portion retained to support business expansion. The company said the agreement also includes additional uncapped performance payments tied to the portfolio’s future value development, which could be substantial. Final proceeds could therefore exceed the announced initial cash amount, depending on asset performance and the terms of the agreement. Trifork also retains future exposure through its remaining stakes in some of the companies covered by the deal.

Under the deal terms, Verdane is acquiring the equivalent of 52% of the four companies’ aggregate carrying value, which stood at EUR 43.6 million based on Trifork Labs’ full ownership stakes as of March 31, 2026. Trifork retained its stakes in Axoniq, Dawn Health and Frameo, while selling its entire remaining 5.0% stake in XCI to Verdane. The stakes cited included 18.4% in Axoniq and 24.0% in Dawn Holding, alongside a final indirect ownership stake of 6.1% in Frameo. These holdings leave the company participating in the future value of those investments alongside the cash consideration for the portion sold. The sale of the XCI stake ended Trifork’s remaining ownership in the company, according to the July announcement.

The company places the deal within a broader plan for its LabsX portfolio; the planned portfolio had a carrying value of EUR 67 million in the first quarter of 2026, equivalent to 86% of total carrying value. In July, executive management said it expected that a large part of this value could be exited or distributed, wholly or partially, on attractive terms within 24 months. Based on the figures announced by the company, the current exit offers an early example of converting some portfolio investments into cash proceeds while retaining stakes in other companies. Trifork’s third-quarter report is due on October 30, 2026, the next event listed on its investor relations calendar after the meeting. The report is expected to provide a later milestone for tracking the company’s financial disclosures.
