RedCloud Announces $7,925,000 Share Issuance to Insiders Through Set-Off of Liabilities
Key Facts
RedCloud announced private subscription agreements to issue shares to insiders for a total value of $7,925,000, to be settled by setting off financial obligations owed by the company to them, according to a company statement published via GlobeNewswire on Oct. 28. The company priced the shares at $0.25 each and said the price represents a premium of about 281% to the share's Oct. 27 close. RCT closed at $0.0656 that day, according to EL7 data. The agreed price does not mean the shares were sold in the market at that price or that the issuance was completed; the disclosure describes subscription agreements and a set-off mechanism. The set-off reduces liabilities owed to insiders in exchange for issuing shares, but does not bring new cash proceeds into the company.
The transaction follows disclosures of a financial position marked by tight liquidity. Company data showed cash and cash equivalents of $766,859 on June 30, 2026, compared with $478,983 on Dec. 31, 2025. In the six months ended June 30, RedCloud used net cash of $8,207,239 in operating activities, versus $15,916,911 in the corresponding period of 2025. The company said the $8.2 million used in operations and $1.3 million in investing during the first half was funded mainly through borrowing. Shareholders' deficit was also about $20.6 million on June 30, and the company disclosed that it had not yet achieved profitability and relied on ongoing financial support from major shareholders.
In its first-half results disclosure, management warned that liquidity would not be sufficient to continue funding operations after October 2026 if financing measures were unsuccessful or the company did not obtain extensions on its obligations to suppliers. It said it planned to raise up to $20 million more through debt or equity offerings. On the operating side, gross transaction value across the company's infrastructure rose 30% to $1.56 billion in the first half, and RedCloud linked revenue growth to higher transaction volumes. The company announced on Sept. 30 that revenue for the period rose 34% to $24.0 million, while operating loss fell 15% to $17.1 million and net loss declined 30% to $18.5 million. The results show revenue and transaction-volume growth alongside continued losses and reliance on external financing.
The set-off is part of financing moves the company has made in recent months. On Oct. 26, RedCloud said it had fully repaid and cancelled amounts due under convertible notes, using proceeds from a shareholder loan that it described as non-dilutive. In August, the company had announced an earlier agreement to sell 7,200,000 shares to insiders at $0.25 per share, for expected gross proceeds of about $1.8 million and a premium of about 24% to the previous day's close. In the August agreement, the same price was about 24% above the previous close, while the company describes it in the October agreement as about 281% above the Oct. 27 close. The two transactions show the company's reliance on dealings with insiders and shareholders to manage financing and liabilities, with the settlement mechanism differing between the earlier offering and the newly announced set-off.
RedCloud also faces compliance issues with Nasdaq listing requirements. In October, it disclosed that it did not meet the minimum bid price requirement of $1.00 per share and that an initial 180-day period expired on Oct. 12 without it regaining compliance. It said the shortfall in shareholders' equity required for initial listing standards made it ineligible for a second compliance period. The appeal request has stayed a trading suspension or delisting pending a hearing and a committee decision, while the company said its shares continued to trade normally on the Nasdaq Capital Market under the ticker RCT. A company meeting scheduled for Oct. 30 is set to consider a share consolidation, according to the coverage angle in the materials provided; those materials did not include the meeting's outcome.
