Georgia Banking wins Nasdaq approval for direct listing covering resale of 7,074,016 shares
Key Facts
Georgia Banking Company, Inc. has received approval to directly list its common stock on the Nasdaq Capital Market, with trading expected to begin Thursday, October 29, 2026, under the ticker GBC, according to a company statement. The move would allow existing shares to trade through potential resales by current shareholders and does not involve the company issuing or selling new shares. The registration covers the potential resale of up to 7,074,016 shares from time to time. The company said the listing could provide shareholders with greater liquidity and transparency and potentially broaden its investor base. It cautioned, however, that these outcomes are not guaranteed and that the listing may not increase trading volume, liquidity or shareholder value.
The listing marks a move to a public trading market at a time when no public market exists for the company's shares, according to the registration statement filed with the U.S. Securities and Exchange Commission. The statement said the shares had traded in limited private transactions. The company also disclosed that 2,298,970 primary and secondary shares were sold in 2026 at $30 per share in private transactions. It cautioned that the prices in those transactions may have little relevance to the stock's opening price in the public market or its subsequent prices on Nasdaq. The private transaction price therefore offers no reliable reference for the price when trading begins.
The registration statement says the direct listing does not involve an underwritten public offering with a firm commitment, which could make trading volume and the share price more volatile than if the listing began with a traditional underwritten public offering. Registered shareholders may choose to sell their registered shares or hold them, and the company will receive no proceeds from any sales they make. According to the disclosure, financial adviser Performance Trust Capital Partners will determine when the stock is ready to begin trading. The decision will be based primarily on pre-opening buy and sell orders and the expected volume at the opening trade. The company is working with Performance Trust as its financial adviser, while Troutman Pepper Locke is providing legal counsel.
Chief Executive Barto Morgan Jr. said the company "has grown a lot over the past five years," including through the mergers of Primary Bancshares Corporation and Tandem Bancorp. He added that the listing could improve shareholder liquidity and information transparency and potentially broaden the investor base—goals the company framed as possibilities rather than certain outcomes. The company's registration statement showed 601 registered shareholders as of September 30, 2026. On the same date, the bank had approximately $3.1 billion in assets, according to the company statement. This puts the scale of the banking institution in the context of the listing, without changing the fact that the registration does not raise new capital for the company.
The company's expansion is partly attributable to its recent mergers. After the merger of Georgia Primary Bank was completed in March 2025, the company said the combined institution had approximately $2.43 billion in assets and $2 billion in deposits. In February 2026, it announced a merger agreement with Tandem and estimated that, on a pro forma basis as of December 31, 2025, the combined bank would have had $3 billion in assets, $2.6 billion in deposits and total loans of $2.5 billion. Those pro forma figures reflect a position calculated as of the end of 2025, while the company later reported actual bank assets of approximately $3.1 billion as of September 30, 2026. Morgan said the two mergers were part of the company's growth over the five years preceding the announcement.
After the listing, the company will file periodic reports with the U.S. Securities and Exchange Commission, including annual Form 10-K reports and quarterly Form 10-Q reports. The expected trading start date of October 29 coincides with the release of the U.S. third-quarter advance estimate of gross domestic product, scheduled for 08:30 a.m., according to the U.S. Bureau of Economic Analysis calendar. The calendar sets November 25 for the second estimate and December 23 for the third, at the same time. The Federal Reserve Bank of New York calendar also lists weekly initial jobless claims for October 29 at 08:30 Eastern Time. Thursday therefore brings together the expected start of trading and scheduled U.S. economic releases at the same time.
