Canada’s Competition Bureau has concluded its review of WELL Health’s control of HEALWELL AI and issued a “no-action” letter, according to an announcement by the companies. The phrase “at this time” defines the scope of the commissioner’s announcement and does not amount to a permanent ruling on the deal. The review followed WELL’s acquisition of a majority stake in HEALWELL, while the latter was completing its purchase of Orion Health. The bureau’s review examined the effect of WELL’s control on companies and products operating in Canada’s health-care technology sector.

The first step in the deal sequence dates to March 31, 2025, when WELL acquired a majority stake in HEALWELL. The following day, April 1, 2025, HEALWELL completed its acquisition of Orion Health, according to background information from the Competition Bureau. WELL said in its first-quarter 2026 disclosure that it filed a pre-merger notification on June 20, 2025, after being informed that its acquisition of control of HEALWELL was subject to the bureau’s review. On December 9, 2025, the bureau obtained a court order requiring information about the company’s operations, according to the same disclosure. WELL later said it had substantially complied with the order and expected to complete its response by mid-April 2026.

The investigation focused on whether WELL’s control of HEALWELL and Orion Health could lessen or prevent competition in health-care technology products and services in Canada. Its scope included user choice and product costs, the ability of products from different vendors to work together, and access to the latest innovations. Areas within the companies’ ecosystem include electronic medical records, patient portals and virtual-care services. It also includes documentation tools, decision support and data analytics, many of which rely on artificial intelligence. The bureau said the federal court order required WELL to provide records and information relevant to the investigation.
