Amphenol Announces About $1.6 Billion in Acquisitions, Awaits Closing of Three Deals
Key Facts
Amphenol said on October 28 that the combined value of four acquisitions is about $1.6 billion and that it will fund them with a mix of available cash and debt, according to a company statement published via Business Wire. The deals include the purchase of Empire Electronics, completed in early September, and definitive agreements to acquire AdvancedPCB, Dexgreen Limited and Humanetics’ sensor business. The latter three deals remain pending, with some expected to close in the fourth quarter of 2026 and the Dexgreen deal in the first quarter of 2027, subject to customary approvals and conditions. The transactions expand the company’s presence in automotive interconnects, printed circuit boards and precision sensors. The announcement follows a record third quarter in which the company said sales and adjusted diluted earnings per share exceeded the high end of its guidance.
Empire Electronics produces complex interconnect assemblies for the automotive sector, with a focus on automotive lighting products. Amphenol expects the company to generate annual sales of about $320 million in 2026. AdvancedPCB, a U.S. company, manufactures high-technology printed circuit boards for the defense and industrial sectors, with sales estimated at about $270 million in the same year. Amphenol signed a definitive agreement to acquire it, with the deal expected to close in the fourth quarter of 2026, subject to customary approvals and conditions. Humanetics Sensors, a subsidiary of Humanetics, provides precision force sensors, fiber-optic sensing products and precision manufacturing solutions for the commercial aerospace, defense and industrial sectors. Amphenol expects the business to generate annual sales of about $70 million in 2026, with the deal expected to close in the fourth quarter, subject to customary conditions.
The announcement did not provide comparable details about Dexgreen’s business or sales, but it set the first quarter of 2027 as the expected closing date for the acquisition, subject to customary approvals and conditions. This means the three pending acquisitions will not all be completed in the same period, while the Empire acquisition already closed in September. According to the company, the combined purchase price for the four deals is about $1.6 billion, funded with available cash and debt. Amphenol said it continues to expand growth opportunities by developing technologies for its customers and diversifying its markets and regions geographically, alongside an active acquisition program. Chief Executive Adam Norwitt said third-quarter sales rose 65% year over year, driven by strong organic growth in most markets and continued exceptional organic growth in the information technology and data communications market, as well as a contribution from the acquisition program.
Amphenol posted record sales of $10.2 billion in the third quarter of 2026, up 65% in dollars and 37% organically from the same quarter in 2025. Orders totaled $12.2 billion, the book-to-bill ratio was 1.19 to 1, and adjusted diluted earnings per share reached $0.80, up 74% year over year. These figures put the acquisitions in the context of the company’s expansion, with sales growth coming from organic gains in most markets and a contribution from the acquisition program. Amphenol expects sales of between $10.3 billion and $10.5 billion and adjusted diluted earnings per share of between $0.81 and $0.83 in the fourth quarter of 2026, assuming current market conditions continue and exchange rates remain stable. For the full year, it expects sales of between $36.9 billion and $37.1 billion and adjusted diluted earnings per share of between $2.82 and $2.84, excluding acquisitions that have not yet closed.
Alongside its acquisition plans, the company returned $553 million to shareholders in the third quarter by repurchasing 3.0 million shares for $245 million and paying $308 million in dividends. The board also approved a 20% increase in the quarterly dividend on October 27, to $0.15 per share from $0.125. The new dividend is scheduled to be paid on January 13, 2027, to shareholders of record on December 22, 2026. The board also approved a new $4 billion share repurchase program running for three years, beginning on January 1, 2027. These decisions form part of a financial agenda that includes completing the pending deals and fourth-quarter guidance, while acquisition closing dates remain subject to customary approvals and conditions.
