Anthropic is weighing allocating about 15% to 20% of the total shares in a potential initial public offering to retail investors, a share that remains under discussion and subject to change, according to Bloomberg Law. The company selected JPMorgan to lead retail share sales in the United States, while Bloomberg reported that Citi will coordinate the international retail offering. The terms of the offering remain incomplete: Anthropic filed its S-1 registration statement with the U.S. Securities and Exchange Commission on October 26, 2026, and the fields for the number of shares and price range have not yet been filled in. The preliminary prospectus says shares may not be sold before the registration statement becomes effective. The portion the company is considering therefore does not represent a final allocation or guarantee that every retail investor will receive shares.

The announced arrangement separates retail sales in the United States from coordination of the offering abroad, with the banks also participating in management of the broader offering. Anthropic's SEC filing names Goldman Sachs and Morgan Stanley as representatives of the underwriters, and also lists JPMorgan and Citi among the underwriters. Bloomberg Law identifies JPMorgan's role as leading retail share sales in the United States, while Bloomberg said Citi will coordinate the international offering. That offering includes Australia, Canada, Japan, Britain, Switzerland and some countries in the European Economic Area. The registration prospectus says the company does not currently intend to list Class A shares on exchanges in those countries, despite their inclusion in the international offering. JPMorgan Chief Executive Jamie Dimon may participate in the bank's campaign, according to Bloomberg Law.

Anthropic's financial disclosures show rapid revenue growth alongside a decline in its operating loss in the first half of 2026. Revenue was $16.286 billion in the six months ended June 30, 2026, compared with $1.163 billion in the corresponding period of 2025, an annual increase of 1,300%, according to the S-1. Over the same period, the operating loss fell to $693 million from $2.135 billion a year earlier. The company also recorded adjusted operating income of $1.618 billion in the first half of 2026, after an adjusted operating loss of $1.849 billion in the first half of 2025. These figures provide financial context for the potential offering, while the company's disclosures also show its expanding corporate customer base. The number of customers each generating at least $100,000 in revenue on a trailing 12-month basis exceeded 11,900 as of September 30, 2026, compared with more than 950 on the same date a year earlier.

The registration documents show substantial financial resources alongside spending needs tied to infrastructure expansion. Cash and cash equivalents and short-term investments totaled $131.651 billion as of June 30, 2026, according to the S-1. The company said it would use the net proceeds of the offering for general corporate purposes, including working capital, operating expenses, capital expenditures, investment in computing and infrastructure, and hiring and retaining skilled employees. Anthropic said its plans to expand computing and infrastructure would change the business's cash flow profile and require high capital spending, according to the Associated Press. The company also disclosed how its revenue is distributed among customers: its five largest customers accounted for about 25% of revenue in the nine months ended September 30, 2026, and no single customer accounted for more than 10%. The share of revenue from outside the five largest customers rose to about 79% in the third quarter, from about 64% in the first quarter.

An Associated Press report estimated that proceeds from the offering could reach $100 billion, but Anthropic has not specified how much it aims to raise or the final share price. According to the company's disclosure, Class F shares held by Founder LLC will carry 50.1% of total voting power after the offering. The prospectus devotes 93 pages to risk factors, including the possibility that advanced artificial intelligence systems could pose catastrophic or existential risks to humanity, according to the news agency. In prediction markets, trading volume in the Polymarket contract tied to the timing of Anthropic's offering reached $6 million as of 9:30 a.m. Eastern time on October 28, while markets related to the offering recorded trading volumes in the tens of millions of dollars, according to Reuters. Anthropic plans to list its Class A shares on the Nasdaq Global Select Market under the ticker ANT, according to the registration prospectus.

A source told Reuters that Anthropic expects to begin marketing shares to potential investors during the week of November 9, with the plan and dates subject to change. Marketing, if it proceeds on the expected schedule, would begin before the offering is completed, as the prospectus requires the registration statement to become effective before shares are sold. Until then, the retail allocation the company is considering remains unsettled, and details of the share count and price range have not been set. The international offering will include markets in Australia, Canada, Japan, Britain, Switzerland and some countries in the European Economic Area, according to the prospectus. Further disclosures will be needed to establish the offering's final terms and when the registration statement becomes effective.
