Williams Maintains Distribution at $0.525 a Share and Sets Next Payment Date
Key Facts
Williams announced a regular cash distribution of $0.525 per share on October 27, equivalent to $2.10 annually, payable on December 28 to shareholders of record through December 11, according to the company. The announcement follows a 5% increase approved on January 27, when the distribution rose from $0.50 per share to $0.525. October’s announcement therefore does not represent a new increase, but repeats the level approved by the company in January. Williams also announced a distribution of $0.525 per share on July 28, payable on September 28 to shareholders of record on September 11. The quarterly amount thus remained unchanged in all three announcements during 2026.
The company set the equivalent annual distribution at $2.10 per share in its January and October announcements, while the quarterly payment remained $0.525 per share. The January increase was compared with the fourth-quarter 2025 distribution of $0.50 per share, paid in December of that year. The distribution history shows Williams paid $0.525 per share in each of March, June and September 2026, compared with $0.5000 in each quarter of 2025. The March 30 payment date was for the distribution announced in January, and shareholders of record through the close of business on March 13 were eligible. The July announcement set September 28 as the payment date for shareholders of record on September 11, ahead of the new December date.
Williams said part of the distribution may be treated for tax purposes as a return of capital. The company says it has paid distributions on its common stock every quarter since 1974, placing the current announcement within a long record of quarterly payments. It also says its infrastructure transports one-third of U.S. natural gas to its destinations. In its 2025 results, the company reported adjusted EBITDA of $7.750 billion, up 9% from 2024. Funds available for operations totaled $5.858 billion, up 9%, while cash flow from operations rose 19% to $5.898 billion.
Williams said its distribution coverage ratio was 2.40 times based on funds available for operations in 2025. The company set its 2026 adjusted EBITDA guidance range at $8.05 billion to $8.35 billion, up 6% at the midpoint compared with 2025. Chief Executive Chad Zamarin described 2025 adjusted EBITDA of $7.75 billion as a record and said the midpoint of 2026 guidance was $8.2 billion. He added that projects placed in service in 2025 would support growth, and that the company expects partial-year revenue from its first energy innovation project when it enters service in the second half of 2026. Williams shares closed at $71.75 on October 26, according to EL7 data.
Investors are now looking ahead to third-quarter 2026 results, which the company said it will report after the market closes on November 2. Williams scheduled an investor call and webcast for November 3 to discuss the results. Both dates follow the October 27 quarterly distribution announcement, which kept the payment at $0.525 per share and set the next record and payment dates. Under the company’s schedule, the payment will be made on December 28 to shareholders of record through December 11. The upcoming quarterly results will also give investors a view of the company’s performance during the third quarter against its 2026 guidance.
