Ireland’s High Court approved Weatherford International’s plan to redomicile in the United States, a key legal step ahead of the company’s move of its legal domicile to Delaware. Weatherford said it expects the transaction to take effect in the fourth quarter of 2026, with the announced closing conditions still to be satisfied. The company estimates the move will reduce its annual cash costs by about $20 million to $30 million beginning in 2027. This puts cost savings at the center of the financial impact the company expects from the redomiciliation. The court’s decision alone does not complete the move, as the related procedures and closing conditions remain in place.

Weatherford describes the plan’s goal as simplifying its organizational, legal and regulatory structure while providing a corporate framework better suited to supporting growth and value creation. The company announced a plan on April 2, 2026, to move its legal domicile from Ireland to the United States, choosing Texas at the time as the new legal home for the parent company. The proposal was later amended to make Delaware the legal domicile. In its filing with the Securities and Exchange Commission on September 3, the company said approval by Ireland’s High Court was a condition to completing the redomiciliation. It said at the time that it would seek court hearings as soon as practicable. In its third-quarter filing, it reaffirmed that the redomiciliation was not expected to affect its global presence, customer commitments or ongoing operations.

The proposal received broad support in the shareholder vote detailed in the September 3 filing. A total of 63,977,312 shares voted in favor of the plan, compared with 309,523 votes against, while 60,753 shares abstained. The court approval follows that vote as another step in the legal process for the redomiciliation. The company says the new structure will simplify its organizational, legal and regulatory arrangements. It also links the plan to providing a corporate framework better suited to supporting growth and value creation. These aims remain tied to completing the move, which is expected in the fourth quarter.

The move comes as third-quarter 2026 results showed a sequential improvement in revenue, alongside a continued year-over-year decline. Revenue was $1.143 billion, up 3% from the previous quarter and down 7% from the same period last year. Management said operational disruptions linked to the conflict in the Middle East weighed on activity levels. The chief executive added that portfolio diversity, cost discipline and operational execution supported margin expansion and strong cash generation. In the same quarter, cash flow from operating activities was $192 million, compared with $138 million in the third quarter of 2025. The figures show a divergence between the annual decline in revenue and higher operating cash flow compared with the year-earlier period.

The chief executive said the company expects a significant increase in adjusted earnings before interest, taxes, depreciation and amortization in the fourth quarter. He added that Weatherford again raised its full-year adjusted free cash flow guidance. In a separate announcement issued on October 20, the company notified holders that it would redeem all of its 8.625% senior notes due 2030, with an aggregate principal amount of $236 million. It said the expected redemption would be funded with available cash and would reduce annual cash interest expense by about $20 million. WFRD shares closed at $88.6 on October 26. The redomiciliation remains subject to completion of the closing conditions and registration, with the company expecting it to take effect in the fourth quarter of 2026.
