Vertiv Agrees to Buy UIG for $1.45 Billion, With Up to $1.15 Billion in Contingent Payments
Key Facts
Vertiv announced on September 2 that its subsidiary, Vertiv Corporation, had agreed to acquire Utility Innovation Holdings, which operates as Utility Innovation Group, in a deal that includes about $1.45 billion in cash at closing. The agreement also includes potential additional cash consideration of up to $1.15 billion, tied to achieving earnings before interest, taxes, depreciation and amortization targets over 12- and 24-month periods. The official announcement did not confirm the deal’s completion, saying instead that it is expected to close in the fourth quarter of 2026, subject to regulatory approvals and customary closing conditions. The announced consideration therefore extends beyond the base closing amount, while the additional payment remains contingent on performance. The deal moves Vertiv into power solutions that precede data center operations, as the company says grid constraints are hindering the deployment of AI infrastructure.
Vertiv said the base purchase price equates to about 13 times Utility Innovation Group’s projected 2027 earnings before interest, taxes, depreciation and amortization. The company said the multiple would be significantly lower if the full performance-linked additional consideration is paid. It also expects the deal to increase adjusted earnings per share in the first year after closing. These estimates remain contingent on the deal closing and on the performance that determines whether the additional consideration is earned. The announced schedule measures targets over 12 and 24 months, while the base multiple is based on projected 2027 earnings.
The deal adds microgrid controls, on-site generation coordination and switchgear designed specifically for microgrids to Vertiv’s portfolio. The additions also include behind-the-meter power infrastructure design, broadening the range of solutions the company offers data centers. Vertiv said Utility Innovation Group’s capabilities are expected to help operators secure power more quickly. The company linked this need to growing grid constraints that are limiting the deployment of AI infrastructure. The deal thus focuses on preparing and controlling power supplies alongside the digital infrastructure data centers need.
Vertiv Chief Executive Gio Albertazzi said the competitive advantage for AI data center operators increasingly depends on the speed of moving “from site selection to first token.” The statement reflects the importance of time in data center development from the company’s perspective, as its projects face growing grid constraints. Utility Innovation Group was founded in 2020 and is headquartered in Raleigh, North Carolina. It has a European headquarters in Dublin and operates manufacturing facilities in North Carolina and New Jersey. These locations give the target company an operational presence in the United States and Europe, according to Vertiv’s statement.
As part of Vertiv’s expansion through acquisitions, the company announced on October 26 that it had completed a separate deal to buy King Environmental Services. It said the separate deal expands its liquid management services into Europe, the Middle East and Africa. That announcement differs from the Utility Innovation Group agreement, which remained expected to close in the fourth quarter of 2026 according to the latest official announcement available. Vertiv shares, listed under the ticker VRT, closed at $199.78 on October 26. The price came the day before the company was scheduled to report third-quarter results.
Vertiv is scheduled to report third-quarter 2026 results before the market opens on October 28. Management will hold an investor call the same day at 11 a.m. Eastern Time to discuss the results. The company said the earnings release will include a link to the presentation materials and third-quarter update on its investor relations website. The results date comes before the expected closing of the Utility Innovation Group agreement, which Vertiv set for the fourth quarter of 2026. Closing remains subject to customary conditions and regulatory approvals.
