Tribal Group’s general meeting approved on October 26 a resolution to sell the entire issued share capital of the group companies to Main Capital Partners, after the motion received 99.96% of votes cast, according to the company’s official announcement. A total of 127,651,489 shares voted in favor, against 55,930 votes opposed. Another 57,995,873 shares were recorded as abstentions or withheld votes and were excluded from the votes cast. Valid votes for or against totaled 127,707,419, representing 59.57% of the issued share capital. The vote approves the sale resolution, but does not mean ownership has transferred; completion remains subject to a UK regulatory condition.

Before the vote, Tribal said it expected the resolution to pass, citing irrevocable voting undertakings from shareholders covering 113,066,571 shares, or about 52.7% of the issued share capital. The undertakings indicated advance support for the resolution, while the official result showed an overwhelming majority of votes cast in favor. The support percentage excludes abstentions and withheld votes, so its basis differs from the total shares represented at the meeting. In its announcement of the amended terms, the company said the consideration represented a 66.7% premium to the closing price of 63 pence per share on 10 September 2026, the business day before the first deal announcement. This provides a price reference for the offer against the share price before the announcement, while the meeting result announcement did not say the transaction had completed or ownership had transferred.

Approval under the UK National Security and Investment Act (NSIA) remains necessary before the sale can be completed. Tribal said in its meeting result announcement that it expects to satisfy the condition and complete the sale during the fourth quarter of 2026. The condition places the transaction’s path after shareholder approval within a stated timeframe, but means completion remains dependent on securing regulatory approval. The company did not announce in its October 26 statement that the condition had been met or the sale completed. Shareholder approval therefore remains one step in the transaction process, with completion to follow once the condition is satisfied.

According to Tribal’s results for the first half of 2026, revenue rose 7.1% year on year to £48.9 million, while annual recurring revenue increased 9.7% to £66.5 million. Adjusted EBITDA was unchanged at £8.7 million. The figures provide a picture of the company’s performance ahead of the transaction, with revenue and recurring revenue growth alongside flat adjusted earnings on the year-on-year comparison reported by the company. Main said in its statement that Tribal serves more than 660 institutions worldwide, including more than 200 universities, and employs about 915 specialists. This is the customer and employee base that will transfer to the new owner once the sale is completed.

Main presented the deal in the context of its expansion in the UK, saying the shift from legacy systems to cloud platforms, alongside rising compliance, reporting and automation requirements, supports growth in the education software market. After completion, the company plans to focus on accelerating cloud adoption, expanding Tribal’s product suite and increasing penetration within its existing customer base, as well as pursuing selective acquisitions. This is the buyer’s stated plan for the next phase, and its execution depends first on completion of the sale. Tribal, meanwhile, plans after completion to seek separate shareholder approval to delist the company and place it into a members’ voluntary liquidation, then return net proceeds to shareholders as soon as practicable. In its amended terms announcement, the company said the initial distribution is expected within 30 days of the liquidator’s appointment in the first quarter of 2027, followed by a final distribution within six months of completion of the sale, expected in the second quarter of 2027.
