Ovintiv to Acquire Logan for $890 Million, Adding 20,000 Barrels a Day
Key Facts
Ovintiv agreed to acquire Logan Energy in a deal valued at about $890 million, or C$1.26 billion, including net debt expected at closing, according to an Ovintiv disclosure on October 26, 2026. The agreement calls for C$1.40 in cash for each Logan share. In addition to the cash, shareholders will receive shares in Logan Oil and warrants, with Logan estimating total consideration at about C$1.48 a share. That represents a premium of about 17% to the 20-day volume-weighted average price through October 23, and 35% to the closing price on August 14, 2026. The deal adds existing production, acreage and drilling locations in the Montney, while completion remains subject to approvals expected in early 2027.
The acreage being added to Ovintiv's portfolio totals about 266,000 net acres in the Montney oil window, including about 200,000 acres in core areas, according to the company's disclosure. Undeveloped acreage accounts for 80% of the core area, expanding the inventory of locations available for development. The assets include about 420 net locations equivalent to a 10,000-foot oil well. Ovintiv classifies about 220 of those locations as premium-return, alongside about 200 additional locations offering potential upside. The company estimates the average cost of a premium-return drilling location at about $1.5 million. It defines a premium location as one with an internal rate of return above 35%, assuming a price of $55 a barrel for West Texas Intermediate crude and $2.75 per million British thermal units for gas.
Current production from the acquired assets is about 20,000 barrels of oil equivalent a day, according to Ovintiv, including about 7,000 barrels a day of oil and condensate. The mix also includes 70 million cubic feet a day of natural gas and 1,000 barrels a day of other natural gas liquids. This production at the time the agreement was announced provides the immediate addition to Ovintiv's portfolio. Chief Executive Brendan McCracken said the deal adds "high-margin oil and condensate production and infrastructure," adding that the company would use its operating advantage to generate savings. He said the transaction strengthens drilling inventory and growth options, linking the addition to the company's focus on Montney oil assets. The announcement did not provide a specific forecast for future production from the assets.
Ovintiv expects annual savings of about $60 million, primarily from lower capital, production and general and administrative costs. It also estimates capital savings of more than $2 million per well across the acquired assets. On a per-share basis, the company expects non-GAAP cash flow to increase by about 5% in 2027, and non-GAAP free cash flow to rise by about 3% in the same year. These figures remain the company's estimates of the benefits after the deal closes. Ovintiv expects to fund the acquisition with available cash and borrowings under its credit facility and commercial paper program. After closing, it expects net debt to be below $4 billion, while maintaining its target of returning at least 60% of 2026 free cash flow to shareholders.
The assets include two oil batteries in Simonette with combined capacity of 24,000 barrels a day. The first battery entered service in the third quarter of 2026, and Ovintiv expects the second to be operating by the end of the first quarter of 2027. Logan owns a 50% stake in a gas processing facility in Simonette with total capacity of 90 million cubic feet a day. The deal also includes a 65% stake in a processing facility in the Pouce Coupe area, with total capacity of 57 million cubic feet a day. These facilities add processing and transportation infrastructure linked to the assets' production, alongside drilling locations. In a previous deal as part of its Montney expansion, Ovintiv announced in November 2024 that it would buy assets from Paramount for $2.377 billion, adding about 70,000 barrels of oil equivalent a day and 109,000 net acres.
Logan grew production from about 4,500 barrels of oil equivalent a day when it was founded in July 2023 to a record 18,775 barrels of oil equivalent a day in the third quarter of 2026, with a liquids weighting of 39%, according to the company. The deal follows that production growth and allows Ovintiv to add producing oil assets and drilling inventory in the region. The boards of both companies unanimously approved the agreement, which will be put to Logan shareholders and securityholders at a special meeting scheduled for on or about January 4, 2027. The arrangement resolution requires approval from at least 66⅔% of votes cast. Closing is also subject to shareholder, court and regulatory approvals and satisfaction of customary conditions. The companies expect to complete the deal in early in the first quarter of 2027; beforehand, Ovintiv plans to report third-quarter results after the market closes on November 3 and hold its earnings call on November 4 at 8:00 a.m. Mountain Time.
