Forum Edge AI Signs Contract Worth About $94.4 Million to Reserve 96 Servers in Dallas
Key Facts
Forum Markets said its Forum Edge AI unit signed a definitive agreement with Fireworks worth about $94.4 million in total over 36 months. The amount covers fees for GPU capacity and CPU management contract fees due over the term, so it does not represent a full immediate payment. The agreement reserves 96 enterprise AI servers at the Edge Node facility in Dallas, according to Forum’s filing with the U.S. Securities and Exchange Commission. The company said Fireworks made a substantial upfront payment that will be credited against fees due during the contract term, without disclosing its value. The agreement is the first definitive contract executed by the Forum Edge project with a customer, putting execution and actual deployment at the center of attention on the deal.
Forum’s chief executive said the agreement was “important evidence of the AI infrastructure strategy,” adding that the company is focused on bringing revenue-generating GPUs to market quickly and in a modular manner. Fireworks provides inference, training and routing services that help companies run and scale generative AI applications in production environments. According to Forum, Fireworks was recently valued at about $17.5 billion, and its backers include Nvidia, Atreides Management, Index Ventures and TCV. The contract links Forum’s new infrastructure project with a service provider focused on running AI applications for businesses. But the agreement’s value is spread over the contract term, while the timing of the start of server deployment will remain a key factor in converting the reservation into operations and revenue.
Forum expects to deploy GPUs at its Dallas data center in late December or early January. The deployment is expected at the Edge Node facility where the servers were reserved, making the announced timing the next execution milestone after the agreement’s signing. The project’s initial portfolio includes a data center in Dallas operating at about 2 megawatts, a 9-megawatt data center campus in High Point, North Carolina, and an initial site for a communications tower with capacity of 1 to 2 megawatts. These sites give the project an initial base beyond the Dallas facility covered by the contract, according to Forum’s announcement when it launched the joint venture. The deal announcement did not specify the upfront payment amount or the revenue schedule within the contract term.
Forum owns 51% of the Forum Edge AI joint venture, compared with 49% for Edge Node AI, and manages it solely while expecting to consolidate its financial results. The company had set consolidated revenue guidance for fiscal 2027 of between $125 million and $175 million, based on counting 100% of the joint venture’s revenue in that guidance. Forum said capital expenditures for computing equipment will be funded through a mix of customer advance payments and equipment financing, while its October filing showed a commitment to fund 51% of land and equipment investments across several projects. The project agreement also gave Forum the right of first refusal to allocate or take the computing capacity generated by any project before it is offered to a third party. These arrangements place the Fireworks contract within a broader expansion plan, with the conversion of assets and capacity into revenue dependent on execution and financing.
Forum Markets shares, listed under the ticker FRMM, closed at $3.38 on October 26, 2026, the same closing price recorded on October 23. The company is scheduled to hold a call to discuss its third-quarter 2026 results on November 12 at 10:30 a.m. Eastern time. The upcoming date gives the company an opportunity to provide an update on contract execution or GPU deployment, alongside a discussion of quarterly results. Forum had said when announcing the agreement that GPUs were expected in Dallas in late December or early January. The contract’s value of about $94.4 million remains tied to fees due over 36 months, while disclosures do not include a figure for the upfront payment.
