Dubai Investments announced the sale of 1,735,243,300 existing shares in DIP Holding, representing 20% of its issued share capital, through the Dubai Financial Market. The parent company is selling the stake as the current shareholder in an offering it said is the first in the UAE in 2026. This means investors can buy a stake in an existing company, with no new shares being issued. The proceeds will go to Dubai Investments, not DIP Holding. The company said most of the funds would be allocated to expanding its business, alongside meeting its general corporate needs.

The offering comprises four tranches, with a total of 1,735,243,300 shares on offer. Khalid bin Kalban said the move was a "natural extension of the company's development" and reflected "the maturity, scale and quality of its business." DIP Holding owns the company that operates Dubai Investments Park, a mixed-use complex covering 23 million square metres. The complex is located between Jebel Ali Port and Al Maktoum International Airport, in Dubai's southern corridor, according to the company. Its activities span logistics, industrial, residential and commercial sectors.

The complex has about 1,000 tenants and about 5,700 subleases, and is home to more than 150,000 people, according to the company's disclosure. Occupancy of leased land was about 99.9% as of June 30, 2026, an operating metric the company provided alongside the offering announcement. DIP Holding recorded revenue of AED 960 million in 2025, alongside adjusted earnings before interest, taxes, depreciation and amortisation of AED 678 million. In the first half of 2026, revenue was AED 492 million and adjusted earnings were AED 355 million. The margin on those earnings was 72%, with a cash conversion rate of 97%, according to Dubai Investments' data.

The company forecast annual dividends of AED 700 million for 2026, AED 725 million for 2027 and AED 750 million for 2028, subject to the necessary approvals. It said the first post-offering distribution is expected to be AED 350 million in April 2027 for the second half of 2026. It added that eligible investors would receive distributions for that full period. These forecasts link the offering to targeted periodic cash flows, while actual dividends remain subject to approval. Subscriptions are scheduled to open on October 27, 2026, and close on November 3.

The company's shares are expected to begin trading on the Dubai Financial Market on or around November 11, 2026. Dubai Investments said the start of trading remains subject to the necessary regulatory approvals and market conditions. The offering thus brings investors into a listed group's operating subsidiary, with part of its ownership transferring to new shareholders. Under the announced structure, the sale proceeds go to the parent company, while DIP Holding continues to operate the complex. The offering process will be completed after the subscription period ends and regulatory requirements are met.
