BNB Standard Announces $304.5 Million Treasury and Establishes New Identity
Key Facts
BNB Standard Corporation marked the establishment of its new name and leadership on October 26 with a Nasdaq closing bell ceremony, after the legal name change from CEA Industries took effect on September 29, 2026. The common stock continued to trade on the Nasdaq Capital Market under the ticker BNC, preserving the familiar symbol for investors despite the name change. Alex Odajiu, who was appointed chief executive effective October 19, rang the bell at the ceremony hosted at Nasdaq's New York headquarters. The celebration highlighted the BNB treasury the company already had in place; it did not mark the start of the company's move into digital assets. As of July 31, the fair value of its total digital assets, including Bitcoin and stablecoin positions, was $304.5 million.
A corporate process and an advisory community vote preceded the final decision. According to the company's filing with the U.S. Securities and Exchange Commission, the board approved the name change on September 18, and the company then filed a certificate of amendment with Nevada authorities on September 21, before it took effect on September 29. The filing said the name change did not require shareholder approval; the community vote on the name was advisory, and the board reviewed its results before making its decision. The company said the amendment did not affect security holders' rights or require them to exchange stock or warrant certificates or take any action. Alongside the BNC stock, warrants continued to trade under the symbols BNCWW and BNCWZ.
Odajiu took the executive role after serving as interim chief executive since June 2026, according to the company announcement. Before joining the company, he was an investment partner at YZi Labs and began his career in investment banking at Goldman Sachs International. The new chief executive set out his priorities as increasing BNB per share and building an operating business on the network, starting with the validator project the company is planning. Odajiu said, "My priorities are increasing BNB per share and building an operating business on BNB Chain, starting with the validator we are planning." The strategy combines management of the company's token holdings with development of an operation tied to the network's infrastructure.
July-end figures show the extent to which the balance sheet is concentrated in digital assets. The company held 515,544 long-term BNB, with a fair value of $302.297 million on July 31, compared with $317.256 million for the same holding on April 30. The fair value of total digital assets, including Bitcoin and stablecoin positions, was $304.5 million at the end of July. In the first quarter of fiscal 2027, which ended July 31, the company reported a net loss of $11.4 million, or $0.22 per basic and diluted share. The company attributed the result mainly to an unrealized loss of $15.3 million on digital assets, and warned in its filing that BNB price volatility could make treasury-management results and consolidated net income subject to significant fluctuations.
The company plans to operate its own validator on BNB Chain, with technical operations handled by a specialized infrastructure provider under the company's governance. It said treasury BNB tokens would remain with qualified custodians throughout the staking process. The project is part of Odajiu's stated effort to build a business on the network alongside increasing BNB per share. Before the bell-ringing ceremony, he said most institutional investors had not yet studied BNB and that the company wanted to give them a reason to do so through a Nasdaq-listed company that, in his words, has the largest institutional treasury of the token and is building a business on the network. The announced ceremony broadcast was scheduled to begin at 9:15 a.m. Eastern on October 26, while Nasdaq listed the event from 9:15 to 9:45 a.m. Eastern.
In October 26 trading, investor data published by a market-data provider showed BNC closing at $5.33, compared with $5.34 on October 23. The company said the displayed closing prices were not official Nasdaq prices; accordingly, the data do not provide a daily trading range. The BNC ticker preserves the stock's market identity after the new name took effect, while the warrants retain their separate symbols. The quarterly financial figures remain important context for assessing the treasury strategy: the unrealized loss on digital assets coincided with a quarterly net loss, and the company acknowledged that changes in BNB's market value could have a significant effect on results. The next operating step announced by the company is to establish the validator and manage its technical operations through a specialized provider, while keeping treasury tokens with qualified custodians during staking.
