SEIF said on October 25 that seven of its founders do not intend to sell their stakes or accept a potential takeover offer, adding that they represent a majority of the capital. The position came after LMDV Media’s board authorized confirmatory due diligence ahead of a possible voluntary tender offer for all SEIF shares. The potential offer is aimed at delisting the company, but LMDV had not announced a completed offer when SEIF issued its statement. The matter is therefore at a preliminary review stage ahead of a possible decision, not an acquisition that has already been launched. The founders’ rejection alone does not mean the offer is frozen, as its effect depends on the terms of the potential offer and the positions of other shareholders.

Ansa estimated the hypothetical offer price at €0.286 per share, for a total value of €7,152,860. The price and value relate to the proposed offer under preparation, not a final transaction or an offer announced to shareholders. The figures come as due diligence has yet to determine whether LMDV will proceed with a formal offer. The founders’ announcement that they reject the sale puts the position of shareholders representing a majority of the capital at the center of the potential offer’s calculations. The extent to which this affects the chances of completion remains tied to the terms and the positions of other shareholders, according to SEIF’s statement.

LMDV said its plan aims to combine SEIF’s expertise in digital and technological innovation and support the company’s growth while preserving its editorial line. These stated objectives belong to the party considering the offer, while the founders did not give a reason for rejecting the sale in their statement. LMDV’s financial review links the company’s economic and financial position with its operating and cash needs in the coming period. Its plans include estimating those needs over 24 months, Ansa reported. LMDV initially estimated that the company may need additional funding of no more than €4 million to support the continuity of its business and editorial activity.

The review also addresses auditor KPMG’s remarks on going concern in SEIF’s consolidated interim report through June 30, 2026, and its consolidated accounts through December 31, 2025. Ansa said LMDV linked its review of the financial position to these remarks in the two audit reports. Separately, SEIF said in its interim report that digital subscriptions rose 17.6% and advertising revenue increased 35% in the first half of 2026. The company attributed revenue growth to investment in technological innovation and new commercial strategies. These results provide context for reviewing the development of the company’s activities alongside estimates of its financial and operating needs.

LMDV’s move toward SEIF follows its acquisition of an 80% majority stake in Editoriale Nazionale. Editoriale Nazionale controls the newspapers Il Giorno, La Nazione and Il Resto del Carlino, as well as the national newspaper QN, Ansa reported. The previous acquisition puts LMDV’s interest in publishing in the context of its expansion into Italian media companies. It does not change the fact that the current SEIF move is preliminary due diligence for a potential offer, nor does it establish that the offer will be made or accepted. The matter now moves to SEIF’s board, which the company said would meet in the following days to review LMDV’s statement and notify the founders.
