Ovintiv agreed to buy all outstanding shares of Logan Energy for cash in a deal valued at about $890 million, or C$1.26 billion, including net debt expected at closing, the company said in an announcement on October 26, 2026. Under the agreement, Logan shareholders will receive C$1.40 in cash for each share when the deal closes. The transaction adds assets in the Montney region with current production of about 20,000 barrels of oil equivalent per day, according to Ovintiv estimates. That production includes about 7,000 barrels a day of oil and condensate, 70 million cubic feet a day of natural gas, and 1,000 barrels a day of other natural gas liquids. The company said the deal combines oil and condensate production with infrastructure, and is intended to deliver operating savings and strengthen growth options.

Ovintiv shares fell 1.5% in premarket trading on Monday, October 26, following the deal announcement, according to Investing.com. The October 23 close of $72.27 a share preceded the announcement and does not represent a post-announcement price, according to EL7 data. These dates distinguish the premarket move on the announcement day from the latest available close before it. The source gave no specific reason for the decline, so the recorded move remains a drop in the stock during that trading. The data provided did not include a high or low for the stock during the October 23 session.

Ovintiv expects the deal to add about $60 million in annual cost savings. It also estimates that cash flow per share, under its non-GAAP measure, will rise about 5% in 2027. The company estimates that free cash flow per share, under the same measure, will increase about 3% in the same year. These figures show the expected per-share impact alongside the annual savings the company expects from the deal. The estimates remain subject to the transaction closing and the company's expectations for its financial and operating results.

Chief Executive Brendan McCracken said the deal adds high-margin oil and condensate production to the company's portfolio, along with infrastructure. He added that Logan's assets have demonstrated leading oil production performance and will compete immediately for capital alongside Ovintiv's other assets. The infrastructure includes full ownership of two new oil batteries in Simonette, with a combined capacity of 24,000 barrels a day, the company said. The first battery entered service in the third quarter of 2026, while the company is targeting operation of the second by the end of the first quarter of 2027. The assets also include stakes in two natural gas processing facilities, which Ovintiv expects to strengthen Montney margins and support future oil production growth options.

Ovintiv said it will fund the deal with a mix of available cash, borrowings under credit facilities and its commercial paper program. The company expects net debt to remain below $4 billion after closing, which is scheduled for early in the first quarter of 2027. The boards of Ovintiv and Logan unanimously approved the agreement, according to the company announcement. Closing remains subject to approval from Logan shareholders, the court and regulators, as well as customary closing conditions. Ovintiv said its capital return plan remains unchanged, with a target of returning at least 60% of 2026 free cash flow through share repurchases and regular dividends.

Among the upcoming dates announced by the company is the release of its third-quarter 2026 financial and operating results after market close on November 3. Ovintiv scheduled its results conference for November 4 at 8:00 a.m. Mountain Time. The date follows the deal announcement, while the acquisition remains subject to the necessary approvals and closing conditions. The company expects the transaction to close early in the first quarter of 2027, with net debt expected to remain below $4 billion after closing. It also ties its estimates of the deal's effect on cash flow per share to 2027.
