Equity Facility Could Generate $80.7 Million for Evernorth and Expand XRP Treasury

Key Facts

1Gross proceeds could reach $80.7 million if all covered shares are sold at the reference price.
2The facility covers up to 5,218,935 new shares and does not require the company to sell them.
3The shares could represent about 16.7% of Class A shares after issuance if all are sold.
4Evernorth's announced treasury totaled 473 million XRP, with institutional strategies set to begin in the fourth quarter of 2026.

A preliminary prospectus filed by Evernorth with the U.S. Securities and Exchange Commission on October 23 says an equity purchase agreement with CF Principal Investments could provide the company with gross proceeds of up to about $80.7 million. That ceiling depends on the sale of all covered shares at the reference closing price cited in the prospectus. The agreement covers up to 5,218,935 new Class A shares that the company may issue and sell to the Cantor affiliate. Evernorth is not required to sell any shares under the agreement, so the amount is not confirmed financing or proceeds already received by the company. The facility gives the company the option to increase its resources as it seeks to expand the use of its XRP treasury in institutional strategies.

Evernorth said in the prospectus that it expects to use a large share of any proceeds to buy more XRP. It also kept the funds available for general purposes, including other activities in the XRP ecosystem and working capital, meaning the full potential proceeds are not earmarked for buying the token. The purchase price for shares in these facilities is generally set at 97% of the volume-weighted average price during the relevant purchase period. As a result, the number of shares the company may issue and the proceeds it actually raises will depend on the price and sales volume in each period. Evernorth retains the decision to activate sales, and the disclosure does not say the company will sell all the shares or reach the maximum proceeds.

The prospectus presents a separate hypothetical scenario using a closing share price of $15.46 on October 22, which calculates purchase proceeds of $78.3 million if all covered shares are sold. This estimate differs from the $80.7 million gross-proceeds ceiling stated elsewhere in the prospectus because the two figures reflect different presentations of potential proceeds. In the hypothetical scenario, the share count is 5,218,935, the maximum amount covered by the facility. The hypothetical estimate should not be read as proceeds already realized or a commitment to sell. XRPN closed at $15.06 on October 23, according to EL7 data.

The potential financing would have a dilutive effect if the company issued all covered shares. The prospectus says those shares would represent about 16.7% of total Class A shares after issuance in that scenario. It also says the share issuance would reduce existing shareholders' economic and voting interests. There were 26,094,680 Class A shares outstanding on October 22, 2026. This means expanded financing capacity could be accompanied by a change in existing shareholders' ownership if the company chooses to use the full facility.

Evernorth links the facility to a broader plan to manage XRP assets: on October 14, it announced that it would work with Ripple, Kraken, Coinbase and BitGo to aggregate and deploy assets in institutional strategies. The company said those strategies are scheduled to begin in the fourth quarter of 2026, starting with a treasury of 473 million XRP. That puts the possibility of additional asset purchases within a plan the company has said will involve operating its existing treasury with its partners. The prospectus also noted XRP's volatility, with the token closing at about $1.50 on October 7, 2026. In the 12 months ended on that date, its price ranged from about $0.98 to $3.10, movements the company said factor into its assessment of the effect of token volatility on the value of its treasury and shares.

Sales remain subject to the resale registration statement becoming effective, and the prospectus says the company will not begin selling shares before that condition is met. The facility may continue until the first day of the month following the 14th anniversary of the purchase agreement, unless it is terminated earlier. This period sets a timeframe for the facility's potential use without making the share issuance obligatory. Any funds reaching the company will depend on sales actually beginning, the number of shares sold and the prices that apply to them. The fourth-quarter plan to operate the XRP treasury with partners remains Evernorth's next announced milestone in its institutional strategy.
