Anthropic’s net loss reaches $80.7 billion in first half as it files offering prospectus

Key Facts

1Net loss was $80.7 billion in the first half of 2026, compared with $13 billion in the same period of 2025.
2Revenue topped $16 billion in the first half of 2026, 14 times its level a year earlier.
3Operating loss was $693 million, compared with $2.1 billion in the first half of 2025.
4The founders’ company will retain 50.1% of shareholder voting power after the proposed offering.

Anthropic filed a registration statement for a potential offering of Class A shares on Nasdaq under the ticker ANT, putting its financial results before investors as revenue accelerates and net losses widen. Disclosures showed revenue topped $16 billion in the first half of 2026, 14 times the level in the same period a year earlier, according to the Associated Press. In the same period, net loss reached $80.7 billion, compared with $13 billion a year earlier. The company has not specified the number of shares on offer or a price range, according to its filing. It also said the registration statement has not yet become effective and that securities may not be sold, nor offers to buy them accepted, before it does.

The comparison between operating and net losses shows a wide gap in first-half results. Operating loss was $693 million, compared with $2.1 billion in the same period of 2025, according to TechCrunch. The company said most of the net loss was tied to non-cash accounting adjustments for financing instruments convertible into shares. TechCrunch described the operating loss as far smaller than the net loss. That puts revenue growth and an improved operating result compared with the year-earlier period alongside a large net loss in the financial disclosure for the potential offering.

The public filing follows Anthropic’s announcement on June 1, 2026, that it had submitted a confidential draft registration statement to the U.S. Securities and Exchange Commission. The company said the confidential filing gives it the option to proceed with an offering after the SEC review is complete, and that the decision depends on market conditions and other factors. In May, the company raised $65 billion in a funding round that valued it at $965 billion post-money, and said its revenue run rate exceeded $47 billion during the same month. The private-round valuation remains separate from the terms of the proposed public offering. Anthropic did not disclose the number of shares or a price range in its filing.

The proposed voting structure sets out another aspect of the disclosures investors will review. The founders’ company, established by the seven founders, will retain 50.1% of shareholder voting power, according to the Associated Press. The Long-Term Benefit Trust can also elect and remove Class T directors, who make up a majority of the board. The agency said the prospectus filing sets the stage for a potential public debut the following month. SpaceX’s offering in June raised $86 billion, setting a record, in a comparison that highlights the scale of offerings investors may use to measure Anthropic’s deal, though the prospectus does not specify its expected proceeds.

The filing comes amid a more cautious IPO market, as market volatility has curtailed the autumn listing calendar and higher borrowing costs have heightened investor concerns about the artificial intelligence investment boom funded by debt, Reuters said. After the offering papers were announced, Nvidia shares rose nearly 3%, while Microsoft and Amazon shares each gained nearly 1%, according to Reuters. The agency quoted an investor as saying the offering’s outcome would indicate whether investors are willing to continue funding capital expenditure for AI development. Anthropic said proceeds from the offering could be used to acquire companies and technologies or invest in infrastructure to support expansion and competition. The next step will depend on the registration statement becoming effective, while the company has yet to set a date or final terms for the offering.
