Ashtead Technology has agreed to a cash offer of 615 pence per share from Pine Acquisition UK Bidco, a company controlled by funds managed and advised by Ember, valuing the equity at about £505 million. The price represents a premium of 80.9% to the share’s closing price of 340.0 pence on 22 September 2026, according to a company statement published on the London Stock Exchange. It is also 59.3% above the three-month volume-weighted average price of 386.1 pence. The offer is also 60.2% above the 12-month average of 383.8 pence. The buyer proposes to implement the transaction through a court-sanctioned scheme of arrangement, which would take Ashtead private if the scheme becomes effective.

Ashtead’s board said the cash consideration gives shareholders an opportunity to realise value compared with the risk-adjusted return expected from pursuing the company’s strategy independently over the medium term. The board said the directors intend to unanimously recommend that shareholders vote in favour of the scheme. The transaction remains conditional on shareholder approval and court sanction, as well as the satisfaction or waiver of its conditions. Reuters reported that the detailed scheme document is expected within 28 days of the offer announcement. The report also cited irrevocable undertakings from company directors covering 1,822,898 shares, or about 2.3% of the issued share capital.

The formal offer marks an advanced stage after a series of earlier proposals from Ember. Reuters reported that the company received three earlier offers before the indicative proposal announced in September, and that Ashtead’s board rejected the first two. That proposal valued the company at about £498 million, with a premium of 12.8% to the closing share price of 545 pence before the announcement. Ember had until 21 October 2026 to announce a firm intention or withdraw. The current offer gives shareholders a cash price above the closing levels and trading averages cited in the transaction statement.

Ashtead Technology provides marine technology solutions to the global offshore energy sector, serving customers through 13 facilities in major energy hubs. This operating platform gives the buyer an established base from which to assess growth opportunities across the business, services and geographic markets. Ember said it would support the current strategy with long-term private capital and continue investing in the fleet, technology and people. It added that its plan includes reviewing operations, offerings and growth strategy, including organic growth, acquisitions, geographic expansion and the broadening of service lines. Ember and Bidco aim to complete this review within about 12 months of the transaction becoming effective.

Ashtead’s 2025 results showed revenue of £203.2 million, up 21% year on year, while adjusted EBITDA rose to £59.1 million. These results provide financial context for the offer, which sets a defined cash consideration for shareholders against the prospect of the company continuing as an independent business. The transaction will be funded by equity provided by Ember funds, including a passive co-investment from CalPERS or its affiliates, alongside a term loan. Santander said available resources are sufficient to meet the full cash consideration. The financing arrangement does not change the fact that completion is tied to satisfying the required conditions and approvals.

The parties expect the transaction to complete in late fourth-quarter 2026 or early first-quarter 2027, subject to the satisfaction or waiver of its conditions. After it becomes effective, Ember and Bidco intend to review Ashtead’s operations, offerings and growth strategy, with the assessment expected to take about 12 months. The stated approach includes continued investment in the fleet, technology and people, alongside consideration of opportunities for organic growth, acquisitions, and expansion of services and geographic reach. These steps are part of a takeover intended to move the company into private ownership through the proposed scheme. The announced timetable remains subject to shareholder and court approval and the other transaction conditions.
