Foremost Clean Energy has agreed with Denison Mines to sell a 31% interest in the GR and Blackwing properties and form two exploration joint ventures for total consideration of $650,000, including the issuance of 1,031,191 share purchase warrants. Foremost announced the agreement on October 22, 2026, and said it expects to complete the transaction on or around November 2, subject to regulatory and exchange approvals and customary closing conditions. Under the arrangement, Foremost will retain a 20% ownership interest in each project after closing, while Denison will fund 80% of future expenditures. This gives Denison a leading role in financing exploration work while keeping Foremost as a partner in both properties. The company describes the deal as the creation of two exploration joint ventures, not a general site development program.

The properties are in the northwestern part of the Athabasca Basin. GR consists of 16 mineral claims covering 78,585 hectares, while Blackwing comprises 3 claims over 12,627 hectares. Foremost said the properties lie along the Grease River Shear Zone and Black Bay Fault. The company's interim chief executive said the areas are "geologically prospective and have historically seen limited or no exploration." The description frames the deal as exploration of mineral assets that remain largely undiscovered, while the acreage and number of claims define the scope of each project. Denison's project inventory at the end of 2025 listed it as owning both properties outright, with Foremost as a partner under an option agreement.

Work plans for the properties predate the agreement. In December 2025, Foremost announced a $9 million exploration program for 2026 that included planned ground geophysical surveys at GR and Blackwing. In July 2025, it also announced an airborne magnetic-electromagnetic survey of approximately 5,000 line-kilometers across the properties to target deep conductive structures and guide subsequent exploration. Foremost expected Denison to conduct geophysical studies during the twelve months following the announcement to identify future drill targets. Denison is also required to conduct geophysical studies or deposit funds to cover any shortfall needed to maintain the properties through at least January 4, 2028. These commitments form the near-term framework for work following completion of the deal.

Foremost's 20% interest does not determine how it will fund its share of the two projects' future expenditures. The agreements give it six months from the earlier of two dates—the completion of initial geophysical surveys or the date of the last initial expenditures—to elect to fund its share or have its ownership diluted under the specified terms. In a separate change, the parties amended the option agreement, ending Foremost's right to increase its interest in GR and Blackwing. It retains the option to complete the third tranche to acquire an additional 19% in 7 of the 8 remaining properties, raising its total interest to 70% in those properties and to at least 51% in Hatchet Lake. This requires spending $12.0 million on qualifying exploration by July 9, 2029, as well as paying Denison an additional $2.5 million in cash or Foremost shares. These terms preserve a path to increase ownership in other assets, tied to additional spending and consideration.

The expected closing comes alongside a separate Nasdaq compliance deadline. The exchange gave Foremost 180 days, ending April 19, 2027, to address minimum bid price requirements. To regain compliance, the closing bid price must be at least $1.00 per share for 10 consecutive business days. The company also said it extended RedChip's marketing services engagement from mid-October 2026 through April 2027 at a cost of $11,000 per month, and arranged a two-week national television campaign starting in the second half of October for $150,000. In October 22 trading, FMST closed at $0.459 in EL7 data, while DNN closed at $2.16.
