SIH Partners' total position in Hugo Boss reached 21.15% of rights linked to shares and financial instruments, according to an official disclosure received by the company on 22 October 2026. The position comprised 0.30% in voting rights attached to shares and 20.85% in rights through financial instruments. The notification identified 21 October 2026 as the date on which the threshold was reached or crossed. The increase was primarily in financial instruments, which account for most of the disclosed position. The disclosure listed the reason for the notification as "acquisition or disposal of financial instruments".

The total position in the previous notification was 17.76%, comprising 0.26% in voting rights attached to shares and 17.50% through financial instruments, according to the comparison in Hugo Boss' disclosure. Both the share and instrument components therefore increased in the current notification. In an earlier disclosure, which identified 7 October 2026 as the date on which the threshold was reached, the total position was 16.91%. At that time, voting rights attached to shares stood at 2.23%, compared with 14.68% through financial instruments. Across these disclosures, the total position rose as the financial instrument component increased, while voting rights attached to shares in the current notification remained below their level in the early October disclosure.

The disclosed financial instruments include call options equivalent to 9,068,200 voting rights in Hugo Boss, according to the official notification. The call options represent 13.18%, making them the largest component among the instruments listed in the disclosure. The instruments also include physically settled put options equivalent to 5,280,600 voting rights. The put options account for 7.67%, compared with the higher percentage represented by call options. This breakdown places call and put options at the core of SIH's disclosed position, with the portion directly linked to shares remaining its smallest component.

SIH's notification follows a separate disclosure by Michael Ashley and Frasers Group, which identified 16 October 2026 as the date on which the threshold in Hugo Boss was reached or crossed. Voting rights attached to shares in that disclosure stood at 48.80%, alongside 22.16% through financial instruments, bringing the total to 70.96%. Rights attached to shares thus accounted for the largest component of Frasers' position, unlike the breakdown of SIH's position. Hugo Boss said in its assessment of Frasers' offer in July that the offer price of 38.00 euros per share "does not adequately reflect Hugo Boss' standalone prospects and its potential for future value creation". The final offer results announced in August 2026 showed that holders of 12,157,598 shares had accepted the offer. Those shares represented about 17.62% of share capital and voting rights, according to the company's announcement on the end of the offer period.

On the business front, Hugo Boss' currency-adjusted sales fell 9% in the second quarter of 2026, a decline the company attributed to its strategic realignment and macroeconomic pressures. In the group's reporting currency, revenue fell 10% to 905 million euros, from 1,002 million euros in the corresponding period of 2025. The company said adverse exchange-rate movements weighed on reported revenue. Second-quarter operating profit was 59 million euros, with profitability affected by lower sales. Gross margin, however, improved by 200 basis points to 64.9%. Hugo Boss attributed the improvement to sourcing efficiencies, better pricing and a higher share of full-price sales, while sales pressures continued to weigh on operating profitability.

For the full year, Hugo Boss expects operating profit of between 300 and 350 million euros in 2026, according to its outlook and targets page. That range compares with operating profit of 391 million euros in 2025, putting the annual forecast below the previous year's result. On shareholder returns, the company announced a share buyback programme of up to 200 million euros in March 2026. The programme is scheduled to run until 31 December 2027, according to the buyback statement. The next event on Hugo Boss' financial calendar is the release of its third-quarter 2026 results, scheduled for 3 November 2026.
