Northrim BanCorp plans to acquire PBCO through a stock swap valued at approximately $167.3 million when the agreement was announced, according to the companies' joint statement filed with the U.S. Securities and Exchange Commission. Under the merger agreement, shareholders of the target company will receive 1.160 Northrim shares for each PBCO share they own when the merger takes effect. The arrangement ties the consideration those shareholders will receive to the acquirer's share price, under the exchange terms set out in the filing. The companies said in their deal announcement that "the value of the consideration will fluctuate with Northrim's stock price," linking the announced valuation to the value of the shares to be issued upon completion. On ownership, Northrim projected in its quarterly report that PBCO shareholders would own approximately 21% of its outstanding common shares after the deal closes. Shareholders of the target company will thus become shareholders in Northrim, based on the contractual exchange ratio specified in the merger agreement.

Northrim estimated in its quarterly report that the combined entity would have approximately $4.2 billion in assets, the expected size of the combined banking operations following the acquisition. PBCO had consolidated assets of approximately $776.6 million as of June 30, 2026, according to figures the companies provided in their statement announcing the agreement. The target company's total loans stood at $570.1 million on the same date, with that portfolio forming part of the operations Northrim intends to acquire through the deal. In its latest financial results, Northrim reported net income of $14.4 million for the third quarter of 2026, according to its earnings statement filed with the U.S. regulator. That equated to diluted earnings of $0.63 per share for the same period, as the company continued preparing for the announced acquisition. Northrim's stock, NRIM, closed at $23.65 in the October 21, 2026 session, according to EL7 data.

On its geographic reach, Northrim said in its letter to employees that the acquisition expands its community banking operations beyond Alaska. The company described this aspect of the agreement as "extending our community banking presence beyond Alaska," identifying the expansion it is targeting through the acquisition. The acquisition plan includes keeping Peoples Bank's 11 branches serving their communities, according to the same letter. Northrim said services at those branches would continue through the existing local team, retaining local employees under the announced operating arrangements. The merger agreement also provides for representation from PBCO's board in the governance of the acquiring company and its banking subsidiary when the transaction closes. The filing provides for adding a current director of the target company to the boards of Northrim and Northrim Bank, with the two parties to agree on the selection.

Northrim expects to complete the deal in the first quarter of 2027, according to its latest earnings statement, with completion remaining subject to the stipulated closing conditions. Those conditions include shareholder and regulatory approvals as separate requirements for completing the merger, according to the company's statement. On the regulatory side, the quarterly report identified approvals from the Federal Reserve and the Federal Deposit Insurance Corporation among those required for the transaction. The operational integration plan announced to employees places the main core banking system conversion in late 2027, according to the question-and-answer document for Peoples Bank employees. The bank said in the document that "the main conversion of our core banking system is expected sometime in late 2027." That schedule places the main technology conversion after the targeted legal closing, with ownership of the combined entity beginning at the expected completion date before this operational step is finished.
