Eli Lilly completed its acquisition of AtaiBeckley on September 11, 2026, for an upfront cash equity consideration of about $2.8 billion, expanding its neuroscience and mental health treatment portfolio. According to Lilly's statement on the agreement's terms, the deal also includes contingent rights potentially worth about an additional $1.0 billion. AtaiBeckley became a wholly owned subsidiary of Lilly upon completion of the merger, according to its filing with the U.S. Securities and Exchange Commission. The acquired company requested the suspension of trading in its shares and their delisting from Nasdaq at closing. The transaction closed in September after the agreement was announced in July, bringing the developer of experimental mental health treatments under the ownership of the U.S. drugmaker.

The acquisition agreement set the base cash consideration payable at closing at $6.75 per share, according to the regulatory filing on the agreement. That price represented a premium of about 40% to AtaiBeckley's volume-weighted average share price over the comparison period preceding the announcement. That period spanned 30 days ending July 15, 2026, according to the preliminary proxy statement filed with the U.S. Securities and Exchange Commission. In addition to the base consideration, the contingent rights provide for additional cash payments totaling up to $2.50 per right. These payments are contingent on achieving the clinical and regulatory milestones specified in the agreement, including regulatory approvals and rescheduling by the U.S. Drug Enforcement Administration.

AtaiBeckley was formed through the merger of Atai Life Sciences and Beckley Psytech in 2025, according to Reuters, creating the company targeted in Lilly's deal. Atai Life Sciences was based in Germany, while Beckley Psytech was privately held. Lilly described the acquired company as a clinical-stage biopharmaceutical company developing fast-acting compounds for mental health that promote neuroplasticity. Carole Ho, president of Lilly Neuroscience, said the company was developing "fast-acting treatments designed to move away from chronic dosing." This therapeutic approach places AtaiBeckley's programs within Lilly's efforts to expand its neuroscience portfolio, in line with the stated rationale for the acquisition.

Reuters linked the agreement to Lilly's efforts to diversify its drug portfolio using profits from its weight-loss medicines. The move came amid growing interest in experimental mental health treatments and easing regulatory restrictions, according to the agency. Regarding the acquired company's programs, Lilly said when announcing the agreement that drug candidate BPL-003 had received breakthrough therapy designation from the U.S. Food and Drug Administration. It added that Phase 3 activities for the candidate had already begun. The acquisition thus combines a program whose activities at that stage have begun with other programs for which the agreement ties additional payments to subsequent clinical progress.

AtaiBeckley shares rose more than 30% in morning trading on the day the agreement was announced in July, according to Reuters' report at the time. Gains in the same session extended to shares of other companies developing experimental mental health treatments. Enveric Biosciences shares rose 6%, according to the same report. GH Research shares climbed 11%, in a move that accompanied the announcement of Lilly's entry through the acquisition of AtaiBeckley. These market moves preceded the merger's completion in September and the company's request to suspend trading in its shares and delist them from Nasdaq at closing.

Post-closing milestones include a contingent payment of up to $1.00 per share upon the start of a Phase 3 trial of drug candidate VLS-01, according to the acquisition agreement. This milestone requires the trial to begin before the 4th anniversary of the deal's completion. This portion of the additional consideration is therefore tied to the start of a specified trial within the stipulated deadline, alongside the other milestones attached to the contingent rights. On clinical results, Reuters reported when the agreement was announced that AtaiBeckley expected initial trial results in early 2029. That timing falls within the clinical timetable the company announced for its experimental mental health programs.
