United Therapeutics Authorizes Up to $2 Billion in Share Buybacks
Key Facts
United Therapeutics' board authorized a program to repurchase up to $2 billion of the company's common stock, with the authorization remaining available until October 21, 2027. The decision gives the company fresh authority to buy back shares while an accelerated repurchase under its previous program remains underway. The company said in its filing with the U.S. Securities and Exchange Commission that the ongoing transaction would not reduce the amount available under the new authorization. Regarding use of the authorization, it said it was "under no obligation to use it," making the announced amount a repurchase ceiling rather than a spending commitment. Implementation of the program and the amounts the company deploys under it therefore remain at its discretion, with the authorization separate from settlement of the earlier transaction.
The new authorization follows an agreement United Therapeutics entered into with Citibank in September 2026 to repurchase common stock for an aggregate amount of approximately $477.6 million. The company disclosed the agreement in a filing with the U.S. Securities and Exchange Commission, saying it would be executed through an accelerated share repurchase. The agreement falls under the previous program, under which the ongoing transaction continues alongside the latest authorization. Before the September agreement, the company had contracted with Citi on March 9, 2026, to repurchase approximately $1.5 billion of its common stock, according to its quarterly report. The board's decision thus adds another authorization to a series of repurchases that included the March agreement followed by the accelerated agreement announced in September.
On financial performance, United Therapeutics reported revenue of approximately $783.3 million in the second quarter of 2026, according to its financial results filed with the U.S. Securities and Exchange Commission. That compared with revenue of $798.6 million in the corresponding period of 2025, marking a year-over-year decline. Total cash, cash equivalents and marketable investments stood at $3.8 billion in the second-quarter earnings presentation, according to Investing.com's coverage of the presentation. Cash flow from operating activities over the twelve months preceding that presentation was $1.7 billion, according to the same coverage. These figures place the share repurchase decisions in a financial context combining lower quarterly revenue compared with the corresponding period and cash and investment balances and operating cash flows disclosed by the company in its earnings presentation.
Against the backdrop of the company's lung treatment business, Liquidia announced actions involving Yutrepia under its settlement with United Therapeutics. Liquidia said it had submitted a supplemental application to remove the indication for pulmonary hypertension associated with interstitial lung disease from the drug's label. It added that it had stopped promoting Yutrepia for this indication, an action it announced alongside submission of the label amendment application. On execution of the share repurchases, United Therapeutics said in its September statement filed with the U.S. Securities and Exchange Commission that it expected final settlement of the accelerated agreement during the fourth quarter of 2026. That timing represents the next announced stage in completing the transaction being executed under the previous authorization.
