Gentherm reported a net loss of $2.6 million in the third quarter of 2026 despite higher product revenue, according to its earnings statement released on October 22. Product revenue totaled $405.1 million, up 4.7% from the same period a year earlier. Excluding foreign currency translation effects, year-over-year revenue growth was 4.4%, the company said. Adjusted diluted earnings per share fell to $0.33 from $0.73 in the third quarter of 2025. Analyst estimates published by Investing.com before the earnings release had pointed to revenue of $403.97 million. Those estimates also included earnings per share of 65 cents, leaving actual revenue above the published forecasts while adjusted earnings per share fell short.

The company's gross profit margin was 23.3% in the third quarter, under pressure from currencies and costs, according to the earnings statement. Gentherm attributed the margin decline primarily to "foreign currency and higher net material costs and inflation." Compared with the previous quarter, product revenue had totaled $416.2 million in the second quarter of 2026, according to the company's statement for that period. Revenue at the time grew 11.0% year over year from $375.1 million in the second quarter of 2025. Third-quarter sales were therefore below their second-quarter level, while year-over-year growth slowed alongside the pressures the company cited on its gross profit margin.

The results follow Gentherm's completion of the merger with Modine's Performance Technologies business on October 1, 2026, according to the transaction's closing statement. The acquired business expands the company's thermal solutions offerings into commercial vehicle and off-highway equipment markets. The business also serves light vehicles and power generation, among the activities the company identified when announcing the merger's completion. The transaction was structured as a "Reverse Morris Trust," according to Gentherm's description of the deal structure. At closing, Modine shareholders held approximately 43.62% of the combined company's outstanding shares. That percentage excludes overlapping ownership, according to the completion statement, which set out the ownership structure following the business combination.

On capital returns to shareholders, Gentherm said it repurchased $60 million of shares during October, between the closing of the Modine transaction and the earnings announcement. The board had authorized a new share repurchase program when the company announced its second-quarter 2026 results. That authorization set a repurchase limit of up to $400 million, according to the company's statement at the time. On the merger's expected benefits, Gentherm had identified anticipated annual cost savings of approximately $25 million when it originally announced the transaction. In that announcement, it also expected the transaction to begin adding to adjusted earnings per share by the deal's second year, forecasts the company presented for the merger's impact on costs and earnings.

In its updated 2026 guidance, Gentherm raised its product revenue forecast range to between $1.825 billion and $1.925 billion, according to its third-quarter earnings statement. The new range includes the fourth-quarter contribution from Modine's Performance Technologies business following the transaction's completion in early October. The company had set its previous annual revenue forecast at between $1.55 billion and $1.65 billion when it announced second-quarter results. That earlier guidance excluded the impact of the merger with Modine's business, which had not yet been completed when it was issued, while the acquired business's contribution is included in the new estimates. Gentherm scheduled its third-quarter earnings call for October 22, 2026. The call is scheduled to begin at 08:00 a.m. Eastern Time, according to the earnings announcement notice.
