SThree announced that Britain's Takeover Panel had approved a further 28-day extension to the deadline for Circle 8 to clarify its intentions regarding a potential takeover offer. The company said its board had requested the extension to allow additional time for discussions between the parties to progress. It added in its announcement that "discussions between SThree and Circle 8 are ongoing." The deadline requires Circle 8 to announce either a firm intention to make an offer or that it does not intend to do so, keeping the potential takeover process open during the additional period. Circle 8 stressed, however, that there was no certainty any offer would be made.

The latest extension follows an earlier 14-day extension, according to SThree's previous announcement on the takeover deadline. Before that extension, Circle 8 had submitted a revised proposal comprising an improved cash offer to acquire the company. SThree's board had unanimously rejected the initial proposal on 11 September 2026. The board said at the time that the proposal "significantly undervalues SThree and its future prospects." Talks have thus moved from a proposal the board explicitly rejected on valuation grounds to discussions of an improved cash proposal submitted by the prospective buyer.

In its previous extension announcement, SThree had set out preconditions for Circle 8's revised proposal. These include completing confirmatory due diligence on the target company and confirming the proposed financing arrangements for the acquisition. They also include agreement between the parties on definitive transaction documentation, according to the same announcement. Circle 8 said the proposed transaction structure did not involve issuing additional ordinary shares of its own to finance the acquisition. The company accompanied its proposal with an explicit caveat on execution, saying: "There can be no certainty that any offer will be made."

The discussions come as SThree raised its pretax profit forecast for the current financial year to at least £12 million. That compares with previous company guidance for pretax profit of about £10 million. SThree attributed the improved outlook mainly to working capital efficiencies and other one-off benefits. Group net fees, meanwhile, fell 2% year on year in the third financial quarter, according to its trading update. The update combined a decline in fees from the corresponding period with a higher annual profit forecast, supported primarily by those benefits.

In the first financial half, SThree reported pretax profit of £2.7 million, according to its results announcement for the period. That represented a decline of 75% from the corresponding half of the previous year. The company attributed the profit decline to lower net fees and one-off costs incurred during the first financial half. Those costs totalled £6.4 million, according to the company's breakdown of the factors affecting the result. Against those costs, which weighed on first-half earnings, the company later attributed its higher annual forecast mainly to working capital efficiencies and other one-off benefits.

Circle 8 says a combination with SThree could significantly expand the international scale of the combined group. It sees the potential acquisition as supporting its ambition to build a global IT and technology platform. The new deadline for announcing a firm intention to make an offer or that it does not intend to do so expires at 5.00 p.m. London time on 18 November 2026, according to SThree. On financial performance, SThree has scheduled its trading update for the 2026 financial year for 16 December 2026. Results for that year are due on 26 January 2027, according to its financial calendar.
