SigmaRoc agrees to buy Dolomitas for 110 million euros to expand minerals business
Key Facts
SigmaRoc announced an agreement to acquire Dolomitas for 110 million euros, a deal it linked to adding a mineral used in green steel production. The company recorded the acquisition announcement on 7 September 2026 among its official regulatory disclosures. It disclosed the deal value in a statement posted on its official LinkedIn account, outlining the target company's operations and financial performance. On 21 October 2026, SigmaRoc listed its third-quarter trading update in its disclosure register, following the agreement announced in September. The acquisition forms part of a business model under which the company says it integrates acquired businesses while improving their operational performance and empowering local management teams.
According to SigmaRoc's statement, Dolomitas generated revenue of 70 million euros in 2025 and earnings before interest, taxes, depreciation and amortisation of 18 million euros in the same year. Dolomitas says on its official website that it produces and supplies products made from dolomite quarried in Lithuania. Its operations also include selling granite imported from Scandinavian countries, alongside products made from the locally quarried mineral. Describing its business, the target company said: "We produce and supply a variety of products made from high-quality dolomite quarried in Lithuania, and sell granite imported from Scandinavian countries." SigmaRoc linked the industrial rationale for the acquisition to the mineral's use in "green steel production", according to the wording of its announcement.
On the group's operating performance, SigmaRoc reported in its first-half 2026 update that revenue rose 2.5% to 523 million pounds. Underlying earnings before interest, taxes, depreciation and amortisation reached 131 million pounds over the same period, up 11%, according to the company's announcement on its official account. Underlying earnings growth therefore outpaced revenue growth in the first half, based on the percentages announced by the group. In the trading session when that update was announced in July, SigmaRoc shares rose 5.2% to 127.03 pence, according to Investing.com. That move was associated with the first-half announcement, which preceded both the Dolomitas agreement and the trading update listed in October.
SigmaRoc targets annual organic growth of between 3% and 5% under the capital allocation framework published on its investor website. The framework also includes a target margin for earnings before interest, taxes, depreciation and amortisation of more than 24%. Describing its dealings with customers for high-quality minerals, the group says most contracts include dynamic pricing mechanisms that respond to changes in key input costs. The costs identified by the company include energy and logistics, with contractual mechanisms allowing prices to be adjusted as those costs change. On managing acquisitions, SigmaRoc says: "We enhance operational performance while seamlessly integrating acquired businesses and empowering local management teams to achieve best-in-class standards."
For the 2026 financial year, analysts' average revenue forecast for SigmaRoc was 1,074 million pounds, according to the estimates table published on the company's website. The average was within a range from a low of 1,061 million pounds to a high of 1,089 million pounds. A total of 10 analysts contributed to the annual revenue estimates displayed in the table. The average forecast for earnings before interest, taxes, depreciation and amortisation for the same financial year was 280 million pounds. Estimates for that measure ranged from 276 million pounds to 285 million pounds, according to SigmaRoc's analysts and consensus forecasts page.
Regulatory approvals remain a condition for completing the Dolomitas agreement, according to SigmaRoc's acquisition statement. The group identified the fourth quarter of 2026 as the expected closing date. It said in its announcement: "The transaction is expected to complete in the fourth quarter of 2026, subject to regulatory approvals." This condition links the agreement's progression to completion to obtaining those approvals. Accordingly, the timing announced by the company represents its expectation for closing the acquisition during that period.
