HUTCHMED closes cancer drug candidate licensing deal worth up to $1.295 billion
Key Facts
HUTCHMED announced the closing of an exclusive development and licensing agreement for a cancer drug candidate with a GSK subsidiary and said it expected to receive an upfront payment of $110 million shortly. The company said in its closing statement dated 20 October 2026 that the agreement had closed after customary conditions were met. Those conditions included the regulatory antitrust reviews required to complete the deal. The closing follows the announcement of the agreement's signing on 3 September 2026, moving the collaboration into implementation of the development and licensing arrangements. The licence covers development and commercialisation of the candidate outside China, Hong Kong, Macau and Taiwan, with clinical programme responsibilities divided between the companies.
According to HUTCHMED's disclosure of the agreement to the U.S. Securities and Exchange Commission, the upfront payment and potential milestone payments total up to $1.295 billion. The terms include additional payments of up to $1.185 billion, contingent on achieving specified milestones during implementation of the agreement. These milestones cover development progress, regulatory requirements and commercial targets, according to the company's statement. In addition to those payments, HUTCHMED is entitled to tiered royalties on annual net sales of the candidate. Contractual proceeds are therefore split between the upfront payment expected after closing, payments tied to subsequent milestones and sales-linked royalties.
HUTCHMED is responsible for the global Phase I development programme, according to the allocation of roles in the closing statement. The GSK subsidiary will undertake all subsequent clinical development within its licensed territories. It will also be responsible for commercialisation in those markets under the agreement. Johnny Cheng, HUTCHMED's acting chief executive and chief financial officer, said the candidate was "the first candidate from our platform to be licensed to a global partner". The agreement also gives the partner a "right of first negotiation" for another candidate from the company's antibody-drug conjugate platform that remains at an earlier stage of development.
Clinical development will initially focus on colorectal, pancreatic and lung cancers, according to the agreement disclosure. The candidate is designed to deliver a KRAS inhibitor to tumours expressing EGFR. Its mechanism aims to inhibit both signalling pathways simultaneously, according to HUTCHMED's description in the disclosure. The company said the design targets "simultaneous inhibition of EGFR and KRAS signalling", explaining the intended mechanism of the treatment under development. The candidate is now undergoing early clinical evaluation of its safety, tolerability and preliminary efficacy as part of the programme led by HUTCHMED.
The first patient in China received the first dose of the candidate on 24 September 2026, according to HUTCHMED's disclosure announcing the start of the human trial. The study evaluates safety and tolerability, alongside pharmacokinetics, immunogenicity and preliminary efficacy. The first part of the study uses dose escalation to determine the maximum tolerated dose and the recommended dose for expansion. This is followed by a dose-expansion or optimisation component, according to the trial plan announced by the company. That subsequent component aims to characterise safety, tolerability and preliminary antitumour activity in selected types of solid tumours.
HUTCHMED's Hong Kong-listed shares rose about 15% when the signing of the agreement was announced, Reuters reported on 3 September 2026. That reaction followed the initial licensing announcement, before dosing began in the human trial and before the agreement closed. The next clinical steps are to complete dose escalation and then move to dose expansion or optimisation, according to the study design. On payments, HUTCHMED said it expected to receive the upfront payment shortly after closing. On the partner's upcoming disclosure calendar, GSK plans to announce its third-quarter 2026 results on Wednesday, 28 October 2026.
