Global Mofy Shares Fall 14.3% After Disclosure of Share Swap That Strengthens CEO's Control
Key Facts
Global Mofy AI shares, traded under the ticker GMM, fell 14.3% in U.S. after-hours trading on 20 October 2026, according to a table published by Benzinga. The decline followed the company's disclosure of a share swap agreement that increases its investment in Chifei and expands its chief executive's voting power. The agreement valued the shares issued in exchange for the additional stake at $3,900,000. Global Mofy said in its filing with the U.S. Securities and Exchange Commission that it signed the agreement on 19 October 2026. It said the consideration shares had already been issued on the signing date, while the closing of the stake transfer remained subject to satisfaction of the agreement's conditions.
Under the agreement, Global Mofy issued 3,000,000 Class B ordinary shares to Yang Hao Gang Limited, the entity designated by the seller to receive the consideration. The parties set the contractual issue price at $1.30 per share. In return, the group will receive an additional 4.875% stake in Chifei upon closing of the ownership transfer. The stake will be held by Shanghai Moying Feihuan Technology, an indirect subsidiary of Global Mofy. According to the filing, the subsidiary's total ownership in Chifei will rise to 9.935% after the deal closes, adding the new stake to its previous investment in the company.
The shares used in the swap carry enhanced voting rights, with each Class B share entitling its holder to 20 votes at shareholder meetings, according to the company's filing. This class does not entitle holders to dividends. It is also not convertible into Class A shares under the rights specified by the company. Global Mofy said Chairman and Chief Executive Haogang Yang's beneficial voting power would reach approximately 87.9% following the issuance. The issuance dilutes other shareholders' voting power, while the new securities retain their distinct dividend and conversion features.
Global Mofy described the agreement as a "related-party transaction" in its disclosure of the links between its chief executive and the parties to the swap. Yang is the sole owner of both the seller and the company designated to receive the shares issued by Global Mofy. He is also the sole director and legal representative of Chifei, the company in which the stake is being acquired. The agreement was based on an $80,000,000 valuation of Chifei, supported by a valuation report from Beijing Zhongchen Asset Appraisal. The agreement describes Chifei's business as developing intelligent systems and providing "industry-oriented artificial intelligence solutions," the business in which the group is increasing its stake through the swap.
The transaction follows an earlier agreement in August 2026 to acquire a 5.06% stake in Chifei, according to the agreement filed with the U.S. regulator. That agreement valued the shares offered in exchange for the stake at $4,050,000.00. The consideration agreed at the time was 1,500,000 Class A ordinary shares. The contractual issue price in the August agreement was $2.7 per share, compared with a lower issue price in the current agreement. Global Mofy has therefore shifted to using Class B shares with enhanced voting rights to finance the additional stake, increasing the number of shares offered while reducing the value of the consideration compared with the previous agreement.
Closing of the new stake transfer is subject to completion of the required approvals and regulatory procedures in China, according to the agreement's terms. The conditions also include legal, financial and commercial due diligence on the target company. The results must be reasonably satisfactory to the buyer under the contractual wording governing completion of the transaction. The agreement set a closing deadline of 3 business days after the conditions are satisfied or waived. The parties may agree in writing on another closing date, upon which the stake will transfer to the subsidiary.
