OCS offer for Mitie at 218.5 pence awaits remaining approvals
Key Facts
OCS's offer to acquire Mitie provides for cash consideration of 218.5 pence per share, according to the formal offer announcement for the British facilities management company. The terms also include a final dividend of up to 3.1 pence per share, in addition to the specified cash acquisition consideration. OCS said in its half-year update that the requisite number of Mitie shareholders approved the deal on 16 September 2026. Shareholder approval marks a step in the acquisition process, which the companies intend to implement through a scheme of arrangement, according to the announcement of the scheme document's publication. Completion remains subject to approvals and the satisfaction or waiver of other conditions, with the deal expected to become effective in the first quarter of 2027.
The scheme document requires court approval following shareholder approvals as part of the procedures needed to implement the acquisition. On the British regulatory front, the Competition and Markets Authority's page for the deal states that it has yet to launch its formal investigation into the transaction. The authority has not set a deadline for a Phase 1 decision, with the decision date still listed as to be confirmed on its page. The companies' remaining steps therefore encompass court proceedings and completion conditions, alongside the British authority's review process. This follows the shareholder approval announced by OCS, while Mitie's document links the expected implementation timetable to the satisfaction of the deal's conditions.
OCS says combining the companies will create a British-headquartered international facilities management group. In the acquisition announcement, it described the prospective group as having "broader sector expertise and greater geographic reach" in setting out the transaction's strategic rationale. The sectors targeted by the group's services include government and defence, according to the same announcement. The list also includes healthcare and national infrastructure, alongside life sciences and commercial markets. OCS places broader expertise across these sectors, together with an expanded geographic presence, at the centre of its vision for the group resulting from the combination of the companies' facilities management businesses.
Mitie enters the deal after its annual revenue rose to £5,619 million in fiscal 2026, according to its annual report. Comparable revenue in fiscal 2025 was about £5,083 million, according to the figures in the report. The company reported operating profit before other items of £264 million in fiscal 2026. That compares with operating profit before other items of £234 million in the previous fiscal year. The annual results thus showed increases in revenue and operating profit on this measure, ahead of the company's subsequent first-quarter fiscal 2027 update.
In its first-quarter fiscal 2027 update, Mitie said revenue rose 10% to £1,406 million. Revenue in the corresponding period of fiscal 2026 was about £1,282 million, according to the trading update. The total value of new contracts, extensions and renewals rose 33% during the first quarter of fiscal 2027. That value reached £1.6 billion, compared with £1.2 billion in the corresponding period of the previous fiscal year. The contracting figure announced by the company included new business alongside extensions and renewals of existing contracts, as quarterly revenue grew from the same period a year earlier.
The deal announcement on 21 July 2026 sent Mitie shares up more than 40% in early trading, according to Reuters. The shares reached a record 214 pence during that trading, according to the report published on Euronext's website. Despite the jump, the share price remained below the announced offer price for the company. In management comments accompanying the offer announcement, Mitie Chief Executive Phil Bentley said business would continue as usual until the deal was completed. Bentley added: "Our focus remains on delivering services to our customers safely and reliably every day," setting out the company's operational priority during the period before completion.
Mitie has scheduled the release of its first-half fiscal 2027 results for 19 November 2026, according to its published financial calendar. The forthcoming results follow the first-quarter update, which included figures for revenue and new, extended and renewed contracts. The company's document puts the expected effective date of the acquisition scheme in the first quarter of 2027. That timing is subject to approvals and the satisfaction or waiver of conditions, according to the announcement of the document's publication. Court approval remains one of the specified requirements for implementing the scheme, while Britain's Competition and Markets Authority has not announced a deadline for its Phase 1 decision.
