Banzai International has entered into an agreement with an institutional investor to repurchase warrants for $1.5 million in cash, with the transaction to take place at the closing of a public offering. The company said in a filing with the U.S. Securities and Exchange Commission that the agreement was signed on October 20, 2026. The agreement makes payment of the cash consideration contingent on completion of the offering, whose net proceeds the company will use to fund the repurchase. The repurchase agreement provides for the warrants to be canceled and extinguished in full upon payment of the consideration to the investor. The cancellation of outstanding instruments allowing the purchase of company shares is thus linked to raising financing through an offering of new securities.

The warrants covered by the agreement allow the purchase of up to 1,662,862 company shares, according to the SEC filing. Their current exercise price is $1.245 per share, the price specified for purchasing shares under those warrants. As for participation in the new financing, the agreement gives the investor the right to participate in the offering for at least $6 million. The agreement permits the investor to participate for a smaller amount if specified by the company, under its terms. The company will also cover $20,000 in legal fees for the investor related to preparing and negotiating the repurchase agreement.

The arrangement includes a standstill period relating to an outstanding senior secured convertible note, which the investor agreed to as part of the agreement. The period lasts eighteen trading days, starting from the public filing date of the offering's registration statement, according to Investing.com. During that period, the repurchase agreement prohibits the investor from submitting a notice to convert the note or requesting its conversion into shares. The restrictions also prohibit "any short sale or hedging transaction," according to the agreement filed with the SEC. The standstill provisions also extend to coordinated dispositions of shares resulting from conversion of the note, alongside the restrictions on conversion itself.

On liquidity, the company had $0.6 million in cash as of June 30, 2026, according to its financial results statement. Its cash balance was $0.3 million as of December 31, 2025, according to the comparison provided by the company in the statement. As part of its business restructuring, Banzai announced expected annual savings of about $9.3 million. The company attributed these expected savings to the integration of ConnectAndSell and the reorganization of business units. In its cost-cutting statement, it described the amount as "annualized cost savings" resulting from the integration and reorganization measures.

The ConnectAndSell integration measures included cutting about 12 positions, according to details Banzai announced in its cost-cutting statement. The company also reduced the business's reliance on outside contractors as part of the integration measures. It estimated annual savings from the job cuts and reduced use of contractors at about $3.1 million. The company linked this estimate to the measures specific to ConnectAndSell, within its broader program to integrate businesses and reorganize units. These measures are contributing to cost reductions as the integrated business begins contributing to the company's consolidated revenue.

In a preliminary revenue statement, Banzai said it expects revenue of about $4.7 million for the third quarter of 2026. The company described the estimate as preliminary and unaudited, ahead of the release of full financial results for the period. The estimate covers the quarter in which ConnectAndSell began contributing to consolidated revenue, according to the company's statement. Banzai said the period represents the integrated business's "first quarter of financial contributions." The company scheduled the release of its full third-quarter financial results for Monday, November 16, 2026, after the market close.
