Inovio Wins $80,416,101 Judgment, Warns of Collection Difficulties
Key Facts
Inovio Pharmaceuticals announced on October 20, 2026 that it had won a judgment totaling $80,416,101 against VGXI and GeneOne Life Science, while warning of difficulties collecting the award. The amount includes damages, fees and costs, according to the company's statement on the litigation outcome. The court also ruled against the defendants on their counterclaims, according to the same statement. But Inovio warned that the financial condition of both parties would likely impede collection of some or all of the amount. It added that the judgment could be "reduced, reversed or otherwise modified" through post-trial motions or an appeal.
On the manufacturing relationship between the parties, Inovio said in its quarterly filing that insufficient production capacity at VGXI had prompted it to engage additional contract manufacturers to produce DNA plasmids. The judgment comes as the company's financial resources declined during the first half of the year, according to its quarterly results. Cash, cash equivalents and short-term investments totaled $36.7 million on June 30, 2026. The comparable balance was $58.5 million at the end of December 2025, according to the second-quarter results statement. The end-June balance excludes approximately $18.3 million in net proceeds from the company's July stock offering.
Inovio posted a net loss of $6.0 million for the quarter ended June 30, 2026, according to its filing with the U.S. Securities and Exchange Commission. Its first-half net loss totaled $25.7 million. The quarterly results included a non-cash gain of approximately $13.9 million from revaluing stock warrant liabilities. On cash flow, operating activities used $39.6 million in the first half, compared with $47.7 million in the corresponding period of 2025. The company attributed the decline in cash used in operations primarily to the timing of and changes in working capital balances, along with lower operating expenses.
To bolster its resources, Inovio announced on July 29, 2026 the pricing of a public offering that included 21,052,632 common shares, according to the offering's pricing statement. The shares were accompanied by warrants to purchase up to 42,105,264 additional shares. The company estimated expected gross proceeds of approximately $20.0 million before underwriting discounts, commissions and offering expenses. That estimate excluded any proceeds from the exercise of the underwriter's option or the stock warrants accompanying the offering. The company subsequently reported net proceeds of approximately $18.3 million after those deductions in its quarterly results statement.
Alongside its funding needs, Inovio faces risks related to the regulatory pathway for its treatment for recurrent respiratory papillomatosis in adults, according to its quarterly filing. It said it does not currently plan to seek approval for the treatment through the traditional regulatory pathway. It added that the U.S. Food and Drug Administration could disagree with its assessment of the treatment's eligibility for the accelerated pathway. The agency approved Papzimeos, developed by Precigen, on August 14, 2025 to treat adults with the same disease. The regulator estimates that approximately 1,000 new cases of recurrent respiratory papillomatosis are diagnosed annually in the United States.
Inovio's management disclosed "substantial doubt" about the company's ability to continue as a going concern in its quarterly report filed with the U.S. Securities and Exchange Commission. It linked the continuation of future operations to securing additional capital and achieving profitability. On the regulatory front, it said the Food and Drug Administration had told it that feedback on the design of the confirmatory trial would follow later. In guidance issued on August 12, 2026, Inovio expected its resources, including proceeds from the July offering, to fund operations and a potential launch of the treatment if approved. The company put the end of its expected funding runway at late in the first quarter of 2027.
