Super League shareholders approve 2,100-bitcoin investment giving Metaplanet control
Key Facts
Super League shareholders approved proposals for an investment by Japan's Metaplanet that includes a contribution of 2,100 bitcoin and transfers control of the U.S. company to the Japanese investor at closing. Super League said in its announcement of voting results that shareholders approved all proposals presented at the annual meeting, including those related to the transaction. The meeting was held on October 16, 2026, and the company announced the results on October 19. Metaplanet will contribute the bitcoin through its wholly owned U.S. subsidiary, alongside $2.5 million in cash upon completion of the investment. The stated aggregate reference value of the initial investment, including the cash contribution, was about $134.6 million in the original agreement announcement.
According to Super League's filing with the U.S. Securities and Exchange Commission, Metaplanet will receive 44,859,400 new common shares in exchange for the initial investment. The agreement set the issue price of these shares at $3.00 per share as part of the consideration the Japanese company will receive at closing. Under the agreement's terms, Metaplanet is expected to hold about 95.7% of issued and outstanding common shares upon completion of the transaction. That percentage is calculated before the exercise of existing pre-funded warrants, according to the companies' agreement announcement. Super League confirmed in its announcement of voting results that the number of shares to be issued in exchange for the contribution is fixed and will not change with fluctuations in bitcoin's price before closing.
The securities package to be issued to Metaplanet includes warrants allowing it to acquire up to 381,000,000 additional common shares, according to the regulatory filing. The warrants have an exercise period of 10 years, allowing for the issuance of shares beyond those granted in the initial investment under the deal's terms. Metaplanet will also receive 100 perpetual convertible preferred shares carrying voting rights and rights to appoint and nominate directors. The agreement also gives it the right to invest up to an additional $210 million by subscribing for non-convertible preferred shares after closing. Securities issued to the Japanese investor are subject to a lock-up of 5 years after closing, with specified exceptions under the agreement.
Metaplanet positions the deal as part of a strategy to build a U.S. presence through the U.S.-listed company and local capital markets. Simon Gerovich, Metaplanet's chief executive officer, said in the agreement announcement: "SuperPlanet is our vehicle for building in America." The strategy calls for SuperPlanet to raise capital in the United States to support bitcoin accumulation across the group. Metaplanet, meanwhile, will continue raising capital in Japan, according to the division of roles outlined in the companies' announcement. Under this arrangement, the U.S. and Japanese companies will finance the group's bitcoin accumulation through two different capital markets.
The gaming media and advertising business will continue alongside the bitcoin treasury, according to a letter from Super League's chief executive officer filed with the U.S. Securities and Exchange Commission. Management confirmed that the management team, employees, clients and partners would remain in place as the transaction proceeds. The chief executive said the company had eliminated debt and cut costs ahead of Metaplanet's proposed investment. He added that it had simplified its capital structure and strengthened its core business as part of the steps preceding the transaction. The announced plan thus combines the continuation of existing gaming and advertising operations with the addition of a bitcoin treasury business, while retaining the team and commercial relationships associated with the current operations.
Super League expects the transaction to close in the fourth quarter of 2026, according to its announcement of the shareholder meeting results. Closing remains subject to customary conditions, including submission of the required documents to Nasdaq. Upon completion of the transaction, the company will change its name to SuperPlanet under the announced arrangements for its new identity. Its Nasdaq ticker symbol will change to SUPA at closing. The company subsequently plans to publish bitcoin-per-share metrics as part of forthcoming disclosures on its treasury business.
