Host Digital approves $15 million share buyback program
Key Facts
Host Digital's board unanimously approved a program to repurchase up to $15 million of its common shares over one year, according to a company statement distributed through GlobeNewswire. The company said the program gives it flexibility to repurchase shares while continuing to prioritize funding and delivering its contracted data center projects. The board attributed the move to its belief that the market price does not fully reflect the value of the company's AI data center platform. The announcement followed an October 19, 2026 letter from the chief executive acknowledging that the stock had come under pressure amid a decline in AI shares. In that letter, the chief executive described the company's stock as having borne a substantial share of the decline.
The buyback authorization follows a company share offering that generated gross proceeds of about $17.5 million, according to an offering closing announcement filed with the U.S. Securities and Exchange Commission. The earlier offering comprised 2,187,500 common shares at a public offering price of $8.00 per share. The announced proceeds were before underwriting commissions and offering-related expenses, according to the same announcement. On spending for the first project, the company said in a September 2026 letter to shareholders that developing it to the announced stage had required a cash investment of approximately $40 million. The letter said it was seeking a loan secured by the site and its lease to finance the remaining fit-out work.
Host Digital's strategy is based on owning and controlling real estate, power and data center facilities, according to the description published on its official website. Tenants select their own computing infrastructure and model layer within those facilities. The company targets sites with available grid power capacity of between 20 and 100 megawatts per site. It says delays in power availability or lower available capacity hamper data center development. It also lists grid connection queues among the obstacles to developing these facilities in its presentation of the factors underpinning its site selection strategy.
Providing details of the first project, the chief executive said in his October 19, 2026 letter that the lease runs for 15 years. He said the contract requires payment for reserved capacity whether or not the tenant uses it. According to the letter, rent starts at about $67 million in the first year of the contract. The agreement includes an annual rent increase of 3% over its term, according to the chief executive's presentation to shareholders. Describing the tenant's obligations, he added: "The tenant also pays the building's operating expenses, including the electricity bill," in addition to rent.
Alongside the first project, Host Digital pointed to a potential second project as part of the expansion of its data center platform. However, it said the project's transfer to the company was subject to negotiations, according to a company announcement published by Investing.com through FinanceWire. The site's transfer also requires the parties involved to sign definitive agreements. The company stressed in the announcement that completion of the transaction was not guaranteed. It said: "Any transfer of the second site remains subject to negotiation and the signing of definitive agreements, and no assurance can be given that it will occur."
The target delivery date for the first project is the first quarter of 2027, according to the chief executive's letter to shareholders. The letter tied the start of rent collection to delivery of the project during that period. The loan the company is seeking is intended to finance the remaining fit-out work at the site, according to its earlier letter to shareholders. Completing the project is among the priorities the company reaffirmed when announcing the share buyback authorization, alongside funding contracted projects. The chief executive said of the target schedule for the first project: "The first quarter of 2027, which is when rent begins."
