Fortrea announced the completion of its acquisition of Worldwide Clinical Trials' Early Phase business in an all-cash deal valued at approximately $45 million, according to a company statement. The acquired assets increase its global early clinical development capacity to more than 570 beds while expanding its services in the field. The acquired operations became part of Fortrea's Clinical Pharmacology Services unit, under the structure that will house the acquired business. The deal includes clinical research, bioanalytical and sample storage assets in the U.S. state of Texas, according to details in the completion announcement. These assets add in-house capabilities for large- and small-molecule bioanalysis, according to Fortrea's earlier statement on the acquisition agreement.

The assets include a 60,000-square-foot bioanalytical laboratory in Austin, according to Fortrea's statement outlining the components of the acquired business. The company said the laboratory complies with Good Laboratory Practice, alongside the specialized capabilities it adds to its bioanalytical business. The deal also includes a clinical research unit in San Antonio with a capacity of 200 beds, which joins the company's early clinical development business. Fortrea said the unit complies with Good Clinical Practice, and its capacity is included in the company's global bed total following completion of the acquisition. A biospecimen storage facility in Pflugerville, Texas, rounds out the announced assets, alongside the Austin laboratory and San Antonio unit.

Outlining its objectives for combining the businesses, Fortrea said the combined platform aims to expand access to diverse volunteer populations to support studies. This approach is linked to the early clinical development services the company is expanding through the operations joining its Clinical Pharmacology Services unit. On analytical work, the company said the addition of specialized bioanalysis aims to "reduce turnaround time," among the acquisition's stated objectives. The capabilities it will provide in-house include large-molecule bioanalysis alongside small-molecule bioanalysis, according to the statement on the deal agreement. The platform described by Fortrea thus combines expanded access to volunteers with the addition of specialized in-house analytical services to support early-phase studies.

Worldwide Clinical Trials said the sale of the business allows it to focus its investments on late-phase studies, according to comments in the statement on the acquisition agreement. The company identified oncology and neuroscience among the areas toward which it intends to direct those investments as it focuses on this business. The areas it named also include internal medicine and rare diseases, alongside the other specialties cited in the statement on investment priorities following the sale. Worldwide continues to provide healthy volunteer studies globally through its external site network, under the arrangement announced with the deal. The transition arrangement includes a strategic alliance between the two sides, which the companies said aims to support operational continuity, study execution and customer service during the transition.

The acquisition follows Fortrea's reporting of revenue of $678.2 million in the second quarter of 2026, according to its financial results statement for the period. Revenue stood at $710.3 million in the second quarter of 2025, showing a decline from the corresponding period a year earlier. Adjusted earnings before interest, taxes, depreciation and amortization, meanwhile, rose to $58.7 million in the second quarter of 2026, according to the company. The adjusted measure stood at $54.9 million in the second quarter of 2025, rising despite the year-on-year revenue decline. Fortrea recorded a net loss under U.S. generally accepted accounting principles of $13.2 million in the second quarter of 2026, alongside the improvement in its adjusted earnings measure.

In its second-quarter results statement, Fortrea raised its 2026 annual revenue guidance range to between $2,620 million and $2,690 million. It also raised its adjusted earnings before interest, taxes, depreciation and amortization guidance to a range of $205 million to $220 million for the same year. The company is moving toward announcing its third-quarter 2026 results following completion of the acquisition and the inclusion of the acquired operations in its Clinical Pharmacology Services unit. Fortrea set Thursday, October 29, 2026, as the date for releasing those results, with the announcement due before the market opens, according to its statement on the disclosure date. The company will hold a call to discuss the results on the same day at 8:00 a.m. U.S. Eastern Time.
