Dream Finders completes Beazer acquisition at enterprise value of about $2.2 billion
Key Facts
Dream Finders Homes announced the completion of its all-cash acquisition of Beazer Homes at an enterprise value of about $2.2 billion, expanding its homebuilding business into new markets. The company said in its closing statement that Beazer shareholders received $33.50 in cash for each common share they held. Following the closing, Beazer shares ceased trading and were delisted from the New York Stock Exchange. The acquisition extends Dream Finders' footprint into California, Nevada, Indiana and Delaware, according to the statement. The deal announcement had put the combined company's expected operating footprint at closing at 26 markets and about 520 active communities.
The definitive agreement followed a publicly announced cash offer by Dream Finders to buy Beazer for $32.00 a share during negotiations. When it submitted the revised offer, the company said it was about 24% above its previous public offer, before the final purchase terms were agreed. According to the definitive agreement announcement, the purchase price represented an implied price-to-book multiple of 0.8 times. Beazer shareholders overwhelmingly approved the acquisition at a special meeting held before completion, according to the shareholder approval statement. The parties also received early termination of the waiting period under the Hart-Scott-Rodino antitrust law before closing.
When it announced the agreement, Dream Finders expected the combination to generate annual run-rate cost savings of more than $100 million following integration. It also expected the acquisition to deliver double-digit percentage accretion to earnings per share in the first year, as part of its estimates of the deal's financial impact. The company identified production efficiencies and procurement improvements among the sources it intended to draw on to achieve the targeted savings in the combined business. Its plan also includes reducing overhead and eliminating duplicate costs associated with having two publicly listed companies, according to the deal announcement. It added increased use of mortgage and title insurance services to the sources of savings it identified for the transaction.
On acquisition financing, Millrose Properties announced a commitment from its manager to provide up to $1.25 billion in funding to support the transaction. The arrangement includes purchasing building land from the combined group resulting from the Beazer acquisition, according to Millrose's statement. Under the arrangement, Dream Finders retains options to purchase the land transferred to Millrose. During development, Dream Finders pays fees for those options, under the mechanism Millrose described in its financing statement. The company then purchases finished lots gradually over time, rather than buying all the land covered by the arrangement at once.
Beazer reported homebuilding revenue of $490.9 million in its fiscal third quarter ended June 2026, according to its earnings statement. That revenue fell 8.3% from the corresponding fiscal quarter a year earlier. On the demand side, the company's net new home orders totaled 900 during the same quarter. The earnings statement compared that figure with net orders of 861 in the corresponding period a year earlier. Annual growth in net orders was 4.5%, alongside a decline in homebuilding revenue over the same period.
Following completion of the acquisition, Dream Finders' management identified converting homes in Beazer communities to its floor plans as one of its upcoming operational priorities. It described those floor plans as more affordable for buyers, according to the closing statement. Priorities include reducing construction costs in the acquired communities while implementing Dream Finders' floor plans. The company said it also aims to "shorten build times" as part of its operational steps following the acquisition. On the financial side, it committed to returning to or improving on the leverage metrics in place when the agreement was announced within 18 to 24 months of closing.
