China approves Kimberly-Clark acquisition of Kenvue valued at $48.7 billion, report says
Key Facts
Seeking Alpha reported that Chinese antitrust authorities approved Kimberly-Clark's acquisition of Kenvue, a step in the deal's regulatory process. When the agreement was announced, Kimberly-Clark put the enterprise value at approximately $48.7 billion, calculated using its share price at the time of the announcement. According to the deal presentation filed with the U.S. Securities and Exchange Commission, Kenvue shareholders will receive a combination of cash and shares in the acquiring company. The consideration for each Kenvue share is $3.50 in cash and 0.14625 Kimberly-Clark shares upon completion of the acquisition. The value of the stock component therefore fluctuates with Kimberly-Clark's share price, while the specified cash consideration per share remains fixed under the agreement's terms.
On financing, Kimberly-Clark announced the pricing of an unsecured bond offering with an aggregate principal amount of $4.9 billion. The company said it intends to use the proceeds as part of the financing for the cash consideration payable in the acquisition. In arrangements concerning the target company's debt, it also announced that it had obtained the required consents from Kenvue bondholders. Those consents allow amendments to the terms of the outstanding bonds, according to Kimberly-Clark's statement on the bondholder consent solicitation. The process for addressing Kenvue's debt also includes offers to exchange its bonds, for which the company specified a date in November before which it does not expect settlement.
In Europe, the acquisition received European Union approval after Kimberly-Clark offered divestment commitments, according to the Wall Street Journal. European competition concerns centered on tampon markets in Czechia, Estonia and Slovakia, the newspaper said. In Australia, the competition authority announced its conditional approval of the deal on 2 September 2026. The authority required the sale of Kenvue's Carefree and Stayfree menstrual care brands in the Australian market. The Australian condition stipulated that the brands be transferred to a buyer approved by the authority, making the divestment part of the requirements for allowing the acquisition there.
The deal also secured support from both companies' shareholders for the proposals needed to implement the acquisition, according to Kimberly-Clark's announcement of the results of the special shareholder meetings. Preliminary results showed that approximately 96% of Kimberly-Clark shares present supported the share issuance associated with the deal. At Kenvue, approximately 99% of shares voted supported the merger agreement. Kimberly-Clark Chief Executive Mike Hsu described the acquisition as an extension of the company's portfolio transformation toward "higher-growth, higher-margin businesses." This stated direction links the addition of Kenvue to the portfolio with the growth and profitability objectives Kimberly-Clark's management outlined when announcing the agreement.
The companies are targeting annual synergies of $2.1 billion once integration is fully implemented, according to the acquisition announcement. Kimberly-Clark said that amount is after reinvestment. The company, in turn, expects cash costs of $2.5 billion to achieve those benefits, according to the statement published on Kenvue's website. Those costs are scheduled to be incurred during the first two years after the deal closes, placing integration execution among the financial commitments following completion. In its update dated 15 October 2026, Kimberly-Clark continued to exclude the impact of the pending Kenvue acquisition from its business outlook.
Kimberly-Clark expects to complete the acquisition in the fourth quarter of 2026, according to its bond pricing statement. Completion remains subject to the customary closing conditions cited by the company. In the timetable for the debt arrangements, it said it does not expect the Kenvue bond exchange offers to settle before 2 November 2026. It then intends to release its final results for the third quarter and nine months on 5 November 2026. The earnings release date was set out in its preliminary results update, in which it also announced that it continued to exclude the impact of the pending acquisition from its outlook.
