Australia's Ingenia said it would give Warburg Pincus access to comprehensive due diligence during the interim period, with a view to agreeing a process deed by Friday 23 October 2026. The announcement came in a filing dated 20 October 2026, classified by the company as a price-sensitive Australian Securities Exchange announcement, updating Warburg Pincus's revised indicative offer. According to the official filing, the arrangement allows Warburg Pincus to proceed with comprehensive due diligence on the company during that period. However, Ingenia's board did not currently consider the offer a superior proposal as defined in the Peet transaction implementation agreement. The board said in the filing that the offer "does not currently constitute a superior proposal from the bidder".

The latest update followed Warburg Pincus's third offer of A$5.25 in cash per stapled security, according to Investing.com coverage. An earlier offer had set the consideration at A$4.75 per stapled security as part of its efforts to acquire the company. In earlier coverage, EL7 reported that Ingenia had rejected an improved A$1.47 billion offer from Warburg Pincus. It subsequently reported that the takeover offer had been raised to $2.14 billion and that the company's shares had risen following the move. The board had said, according to Investing.com, that it remained open to "proposals that deliver compelling value and are in the best interests of securityholders".

The negotiations also come against the backdrop of Ingenia's planned acquisition of Peet, whose transaction implementation agreement the board cited when assessing Warburg Pincus's latest offer. Abandoning the planned Peet acquisition was a key condition of Warburg Pincus's previous offer, according to Investing.com. Ingenia, meanwhile, described the planned acquisition as an important part of its strategy, according to the site's coverage of its rejection of an earlier bid for the company. It said the Peet transaction provided development projects to support future growth, setting out its position on the importance of the planned acquisition. The company's position on Peet thus encompassed both its role in the development strategy and the contractual definition of a superior proposal used by the board in the latest filing.

Ingenia owns, operates and develops land-lease residential communities and holiday parks, according to the description of its activities on its official website. Its business model combines recurring rental and tourism revenue with returns from developing new homes. The company describes recurring rental and tourism income as stable, while linking development returns to the delivery of new homes. In its financial year 2026 results, group earnings before interest and tax rose 18% to A$193 million, according to Investing.com's coverage of the results. Those earnings were reported at group level, encompassing its residential, tourism and development activities, providing the operating backdrop to Warburg Pincus's series of takeover offers.

The announcement of the third offer was accompanied by a rise in Ingenia shares during trading on 28 September 2026, according to Investing.com's coverage at the time. The stock rose as much as 8.7% to A$4.89 as Warburg Pincus increased its takeover offer. That trading price remained below the third offer's A$5.25 in cash per stapled security. The move followed an earlier offer of A$4.75 per stapled security in the sequence of negotiations between the parties. EL7 had covered the share price rise in its earlier report on Warburg Pincus's increased offer, before Ingenia's latest filing on granting access to due diligence.

The next step specified in Ingenia's filing is for the parties to seek to agree a process deed by Friday 23 October 2026. The official filing with the Australian Securities Exchange set that date as the target deadline for an agreement between the company and Warburg Pincus. During the interim period, Ingenia will allow comprehensive due diligence while the board maintains its stated position on the offer's classification under the Peet agreement. Next on the company's calendar is its annual general meeting, which it plans to hold on Wednesday 18 November 2026. Ingenia listed the meeting date on the investor events page of its official website among its upcoming dates following the takeover offer update.
