FFAI agrees to acquire Faraday robotics business at $200 million valuation

Key Facts
FFAI Robotics Ecosystem signed definitive agreements to acquire Faraday Future's entire robotics business at a valuation of about $200 million, according to the company's statement and regulatory filing. The agreements were signed on October 12, 2026, transferring the business to the company listed under the ticker FFR while Faraday retains control. The parties valued the acquiring company at about $60 million on a fully diluted basis. The company said the acquisition would be completed "in an all-stock transaction." Faraday estimates its ownership will be about 65.7% after the acquisition and accompanying private placement close, on an as-converted, fully diluted basis.
The agreement set the issue price for the consideration shares at $2.246 per share, according to the filing with the U.S. Securities and Exchange Commission. The consideration includes common shares and non-voting convertible preferred shares. The preferred shares cannot be converted into common shares before the shareholder approval required under the agreement is obtained. The definitive agreement excluded the special share distribution mechanism included in the earlier term sheet. The transaction is a related-party deal, as Faraday Future is already the acquiring company's majority shareholder. The special committee and board received a fairness opinion from financial adviser Adventure Capital Solutions, according to the company's filing.
Alongside the acquisition, the private placement agreement provides for gross proceeds of up to $10 million, according to the acquiring company's regulatory filing. A schedule to the agreement set the subscription price for common shares in the financing at $1.50 per share. Faraday estimates that private placement investors will hold about 5.5% after closing on an as-converted, fully diluted basis. Under the same estimates, management and employees will hold about 18.2% of the company after completion. However, the investor presentation attached to the regulatory filing warned of "the significant funding needs of the acquired business, which materially exceed the expected proceeds of any concurrent financing."
The ownership arrangements include restrictions on the transfer of new shares received in the transaction, according to the statement attached to Faraday's filing. The lock-up period is 18 months, subject to exceptions and approvals specified in the agreement. The freely tradable float after closing will be about 13 million shares, according to estimates reported by Investing.com. These shares represent about 10.7% of the total, according to the same coverage of the expected ownership structure after completion. On the technological ties between the parties, the acquiring company's filing provides for the licensing of certain specified shared software and technologies under long-term intellectual property agreements.
Before the definitive agreement, the acquiring company changed its name from AIxCrypto Holdings to FFAI Robotics Ecosystem, with the new name and ticker FFR taking effect on September 30, 2026. The announced transformation plan included fully abandoning the cryptocurrency strategy alongside the shift to robotics. In its operating updates before the deal, the company announced that cumulative robot sales and shipments had reached 552 units by the end of August. Subsequent coverage by Investing.com said the robotics unit had shipped 817 units by the end of September. The website also cited earlier statements by the companies that Faraday relies on Chinese manufacturers for all its robotics products.
Completion of the acquisition remains tied to an internal restructuring of the robotics business, according to the agreement disclosed in the acquiring company's regulatory filing. The restructuring includes transferring the business's assets, data, contracts, employees and liabilities to the acquisition target. The agreement also requires the selling parties to provide financial statements for the robotics business as part of their transaction covenants. These statements must be audited under Public Company Accounting Oversight Board standards, according to Faraday Future's filing. At the time of the announcement, the company expected the closings to be completed by the end of October 2026, subject to closing conditions.
