Vistra Pairs 20-Year Meta and AWS Nuclear Deals With Up to $1 Billion Helix Commitment

Key Facts

1The Meta agreements cover 20 years and 2,609 megawatts (MW) of carbon-free nuclear energy and capacity.
2The AWS agreement covers 20 years and up to 1,200 megawatts (MW) from Comanche Peak.
3Vistra's Helix commitment is up to $1 billion, split between an initial $500 million and an additional conditional or elective $500 million.
4The Lotus acquisition added 7 gas plants totaling about 2,600 megawatts (MW) to Vistra.

Vistra's strategy for artificial-intelligence-related power demand combines separate 20-year nuclear arrangements with Meta and AWS and an investment commitment of up to $1 billion in Helix Digital Infrastructure. The initiatives position the company as a long-term power supplier, but they are neither one transaction nor a bilateral venture with NVIDIA.

Under the Meta agreements, Vistra will provide a total of 2,609 megawatts (MW) of carbon-free energy and capacity from nuclear plants in PJM. That comprises 2,176 megawatts (MW) of existing operating capacity and 433 megawatts (MW) of uprates; partial delivery of existing capacity is due to begin in late 2026 and reach full delivery in 2027, while uprate deliveries are scheduled to start by 2031 and be completed in 2034.

The separate AWS agreement covers up to 1,200 megawatts (MW) of carbon-free power from the Comanche Peak nuclear plant. Vistra expects delivery to begin in the fourth quarter of 2027 and ramp to full capacity in 2032.

In Helix, Vistra committed up to $1 billion, comprising an initial $500 million and another $500 million tied to commercial power-supply milestones or exercisable at Vistra's election. The founders include KKR, the Kuwait Investment Authority, NVIDIA and Vistra; KKR manages the fund, NVIDIA serves as a strategic partner and Vistra is the preferred power provider for Helix investments.

Vistra also expanded its dispatchable-generation base after acquiring 7 gas plants totaling about 2,600 megawatts (MW) from Lotus Infrastructure Partners on October 22, 2025. The company presented the deal as a geographic expansion of its portfolio across several American markets, not as a direct dedication of those plants to Meta or AWS.

For investors, the initiatives' significance lies in contract duration, committed capacity and execution schedules, rather than combining them into a single figure. The ultimate financial effect depends on completing the nuclear uprates, meeting delivery timetables and satisfying the condition for the second Helix commitment; the reviewed official disclosures do not provide one consolidated estimate of the initiatives' combined earnings or cash-flow contribution.
