CAML Shareholders Approve Share Issuance for A$232 Million Cygnus Deal
Key Facts
Central Asia Metals, or CAML, shareholders voted at an extraordinary general meeting on September 4, 2026 to authorize the directors to allot the new shares required for the proposed acquisition of Cygnus Metals through an Australian scheme of arrangement. The resolution satisfies one scheme condition but does not mean the transaction has completed.
Implementation remains subject to other conditions, including Cygnus shareholder approval and Australian court sanction. Cygnus said on August 4, 2026 that the North Macedonia clearance condition had been satisfied, while the Kazakhstan filing was under review; a September 7 update said the other conditions continued to apply without giving a fresh status for each one.
The terms give Cygnus shareholders 0.06 new CAML share for each share and imply a fully diluted equity value of about A$232 million using share prices and the exchange rate on June 1, 2026. The June announcement estimated existing CAML shareholders would own about 70% and Cygnus shareholders about 30% of the enlarged fully diluted capital, while the August circular estimated Cygnus at about 31% using the then-current share count and maximum new-share issuance; the approximate percentages therefore depend on the calculation basis.
The transaction would add the Chibougamau copper-gold project in Quebec, Canada, to CAML's producing operations in Kazakhstan and North Macedonia. Chibougamau is an exploration and development-stage asset, so its prospective contribution depends on further technical studies, permitting, investment and development decisions rather than current production from the project.
The indicative timetable sets the Cygnus shareholder meeting for September 18, 2026, the court hearing for September 23, effectiveness for September 24 and implementation for October 5. The dates remain dependent on satisfaction of the conditions and court sanction and may change.
Under the timetable, the new CAML shares were expected to be issued and admitted to AIM at 08:00 on October 5, 2026, with CREST accounts credited that day. CAML also engaged Bell Potter, alongside Morgans, to help eligible shareholders open CREST-enabled accounts and dematerialise their shares; those shareholders would incur no transaction costs for account opening or dematerialisation through the two services for 12 months after implementation.
