According to reports, the deal structure dictates that each share of Sanara common stock will be converted into $33.00 in cash plus 0.4735 shares of MiMedx common stock. To support the transaction, MiMedx has secured a $300 million first-lien senior secured term loan commitment to finance the merger and refinance existing debt.
The latest disclosures also specified merger termination fees, setting a $9.66 million penalty for Sanara and a $22.54 million fee for MiMedx under specific failure-to-close scenarios.
