Upon completion, existing PBT unitholders are expected to own approximately 59% of the combined company, with Blackbeard and its affiliates holding the remaining 41%.
The deal involves converting existing Net Profits Interests in the Waddell Ranch assets into a new 15% effective royalty interest structure, alongside a planned $120 million rights offering and private placement. According to reports, the combined entity's Class A shares are expected to trade on the NYSE and NYSE Texas under the symbol PBT. This strategic move follows significant production growth at Waddell Ranch, which increased from 3,000 to over 35,000 barrels per day under Blackbeard’s operational tenure.
The transaction is slated to close in the second half of 2026, subject to unitholder and regulatory approvals.
