Trump Media Discusses Spinning Off Truth Social into Independent Public Company

Trump Media & Technology Group (TMTG) is reportedly in discussions to spin off its Truth Social platform into a separate, independent publicly traded entity. The proposed plan involves TMTG merging with TAE Technologies while simultaneously separating Truth Social into a new company, referred to as "SpinCo." Shares of this new entity would be distributed to existing TMTG shareholders of record prior to the completion of the TAE merger. Following the spin-off, SpinCo is expected to enter into a merger agreement with Texas Ventures Acquisition III Corp (TVA), a special purpose acquisition company (SPAC).
